Multiemployer definition

Multiemployer plan means a plan to which more than one employer is required to contribute and which is maintained pursuant to one or more collective bargaining agreements between one or more employee organizations and more than one employer.
Multiemployer pension plan (as such term is defined in Section 3(37) of ERISA, (vi) all contributions or other amounts payable by FCB or the FCB Subsidiaries as of the Effective Time with respect to each FCB Benefit Plan in respect of current or prior plan years have been paid or accrued in accordance with GAAP and Section 412 of the Code, (vii) neither FCB, the FCB Subsidiaries nor any FCB ERISA Affiliate has engaged in a transaction in connection with which FCB, the FCB Subsidiaries or any ERISA Affiliate reasonably could be subject to either a material civil penalty assessed pursuant to Section 409 or 502(i) of ERISA or a material tax imposed pursuant to Sections 4975 or 4976 of the Code, and (viii) to the best knowledge of FCB, there are no pending, threatened or anticipated claims (other than routine claims for benefits) by, on behalf of or against any of the FCB Benefit Plans or any trusts related thereto which are, in the reasonable judgment of FCB, likely, either individually or in the aggregate, to have a Material Adverse Effect on FCB.

  • Multi-employer plans are defined contribution plans (other than state plans and composite social security programmes) or defined benefit plans (other than state plans) that pool the assets contributed by various entities that are not under common control and use those assets to provide benefits to employees of more than one entity, on the basis that contribution and benefit levels are determined without regard to the identity of the entity that employs the employees concerned.

  • No accumulated funding deficiency (as defined in section 302 of ERISA and section 412 of the Code), whether or not waived, exists with respect to any Plan (other than a Multiemployer Plan).
