Motorola Common Stock shall have the meaning set forth in Section 2.1(a)(ii). "Motorola Financial Statements" shall have the meaning set forth in Section 4.5. "Proxy Statement" shall have the meaning set forth in Section 5.8. "Receiving Party" shall have the meaning set forth in Section 7.1. "Registered Intellectual Property" shall have the meaning set forth in Section 3.8(b). "Registration Statement" shall have the meaning set forth in Section 5.8.
