MORPHO shall also be protected against claims for injury, disease or death of employees which, for any reason, may not fall within the provisions of the Workers’ Compensation law.
Parts removed from the Equipment in the performance of the Basic Service shall become the property of MORPHO.

Upon CITY’S request, in addition to Basic Service, MORPHO will make available to CITY such additional consultation, technical assistance, training and other services as the parties may agree upon in writing from time to time during the Term.
Upon CITY’S request, MORPHO shall advise CITY of the name, telephone number and location of MORPHO personnel authorized to receive Basic Service request from CITY.
MORPHO will issue its invoice for the Annual Fee Installment for each month on or about the first day of such month.
CITY shall provide MORPHO with not less than ninety (90) days prior written notice of any relocation of the Software or Equipment to any location other than the one in which it is installed by MORPHO.
