Accordingly, the Executive is responsible for all self-employment and income taxes, and the Company will not withhold any taxes from any payments under this Agreement for so long as the Executive is a limited partner of Group LP or a member of its affiliate Moelis & Company Partner Holdings LLC, unless the Company becomes required to withhold for taxes.
Each of the Advisory and Asset Management were operated as businesses under Moelis Asset Management LP (formerly named Moelis & Company Holdings LP), prior to the initial public offering of Advisory.

Moelis & Company LLC is serving as financial advisor to eHealth and ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ & ▇▇▇▇▇▇, Professional Corporation and ▇▇▇▇▇▇ & ▇▇▇▇▇▇ L.L.P. are serving as its legal advisors.
Except for Blackstone Advisory Partners, BNP Paribas, Citigroup, ▇▇▇▇▇▇▇, Sachs & Co. Inc., Moelis & Company and ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ Partners LP, no broker, investment banker, financial advisor or other Person is entitled to any broker’s, finder’s, financial advisor’s or other similar fee or commission in connection with the transactions contemplated by this Agreement based upon arrangements made by or on behalf of Yankees or any of its Subsidiaries.
Except for Moelis & Company (“Moelis”) and Guggenheim Securities, LLC (“Guggenheim”), there is no investment banker, broker or finder that has been retained by or is authorized to act on behalf of the Company or any of its Subsidiaries who is entitled to any fee or commission from the Company or any of its Subsidiaries in connection with the transactions contemplated by this Agreement, and the agreements with respect to such engagements have previously been made available to Parent.
Except for Moelis & Company, no broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the transactions contemplated by this Agreement based upon arrangements made by or on behalf of Parent or Merger Sub.
The Executive has been nominated by the Company to serve on the Board of Directors of Moelis & Company at least until the 2015 annual meeting for the election of Directors.
This license shall endure for so long as Moelis & Company Group GP LLC is the General Partner.
