Misconduct definition

Misconduct means the commission of any act of fraud, embezzlement or dishonesty by the Optionee or Participant, any unauthorized use or disclosure by such person of confidential information or trade secrets of the Corporation (or any Parent or Subsidiary), or any other intentional misconduct by such person adversely affecting the business or affairs of the Corporation (or any Parent or Subsidiary) in a material manner. The foregoing definition shall not be deemed to be inclusive of all the acts or omissions which the Corporation (or any Parent or Subsidiary) may consider as grounds for the dismissal or discharge of any Optionee or Participant or other person in the Service of the Corporation (or any Parent or Subsidiary).
Misconduct shall, for the purpose of this Agreement, would have the same meaning ascribed to it in the Standing Orders of Infosys
Misconduct shall have the meaning ascribed to such term in Section 3.1(k).

Examples of Misconduct in a sentence

  • To the extent Employee is covered by The Western Union Company D▇▇▇-▇▇▇▇▇ ▇▇▇▇▇▇▇▇ and Forfeiture Policy (the “D▇▇▇-▇▇▇▇▇ Clawback Policy”) and The Western Union Company Misconduct Clawback and Forfeiture Policy (the “Misconduct Clawback Policy”), Employee acknowledges receipt of a copy of the D▇▇▇-▇▇▇▇▇ Clawback Policy and the Misconduct Clawback Policy.

  • Your Award will be forfeited and cancelled upon termination of employment for the following reasons: (i) Cause, (ii) voluntary resignation before retirement eligibility, (iii) violation of a restricted covenant agreement, such as a Non-Competition, Non-Solicitation or Confidentiality Agreement, or (iv) your Misconduct.

  • Such notice shall be provided within the earlier to occur of one year after discovery of the alleged Misconduct or the second anniversary of the Participant’s date of termination.

  • Your employment will be deemed to have been terminated for Gross Misconduct if the Company determines, not later than one year after termination of your employment, that your employment could have been terminated for Gross Misconduct.

  • Notwithstanding anything in the Agreement to the contrary, this Restricted Stock Unit Award, and any related payments, are subject to the provisions of the D▇▇▇-▇▇▇▇▇ Clawback Policy and the Misconduct Clawback Policy, and any modification to such policies or any other clawback policy of the Company adopted to comply with applicable laws, rules, regulations or governmental orders or judgments.


More Definitions of Misconduct

Misconduct means an Employee’s intentional or negligent failure to abide by or adhere to the standards of conduct expected by the Employer. A performance issue can be considered misconduct where, despite all reasonably practicable interventions by the Employer, the Employee is unable to fulfil all or part of their job requirements to a satisfactory level.

The foregoing definition shall not in any way preclude or restrict the right of the Corporation (or any Parent or Subsidiary) to discharge or dismiss any Optionee, Participant or other person in the Service of the Corporation (or any Parent or Subsidiary) for any other acts or omissions, but such other acts or omissions shall not be deemed, for purposes of the Plan, to constitute grounds for termination for Misconduct.
