  • All such shares of AIDH Stock shall no longer be outstanding and shall automatically be canceled and shall cease to exist, and each certificate previously evidencing any such shares shall thereafter represent the right to receive, upon the surrender of such certificate in accordance with the provisions of Section 4 hereof, certificates evidencing such number of shares of MIS Stock, respectively, into which such shares of AIDH Stock were converted.

  • On or as soon as practicable after the Effective Date, AIDH will use reasonable efforts to cause all holders of AIDH Stock to surrender to MIS’s transfer agent for cancellation certificates representing their shares of AIDH Stock, against delivery of certificates representing the shares of MIS Stock for which the AIDH shares are to be converted in the Merger.
