MIS Stock is currently quoted for trading on the OTC Bulletin Board, and MIS has received no notice that the MIS Stock is subject to being delisted therefrom.
All such shares of AIDH Stock shall no longer be outstanding and shall automatically be canceled and shall cease to exist, and each certificate previously evidencing any such shares shall thereafter represent the right to receive, upon the surrender of such certificate in accordance with the provisions of Section 4 hereof, certificates evidencing such number of shares of MIS Stock, respectively, into which such shares of AIDH Stock were converted.
Until surrendered and exchanged as herein provided, each outstanding certificate which, prior to the Effective Date, represented AIDH Stock shall be deemed for all corporate purposes to evidence ownership of the same number of shares of MIS Stock into which the shares of AIDH Stock represented by such AIDH certificate shall have been so converted.
No fractional shares of MIS Stock will be issued in the Merger; any fractional share otherwise issuable shall be rounded to the nearest whole share.
At the Effective Time, MIS’s authorized capital stock will consist solely of 100,000,000 shares of MIS Stock, and 10,000,000 shares of preferred stock.
MIS is not aware of any fact or condition that would make it unlikely that the MIS Stock would continue to be eligible to be quoted on the OTC Bulletin Board following the Merger.
On or as soon as practicable after the Effective Date, AIDH will use reasonable efforts to cause all holders of AIDH Stock to surrender to MIS’s transfer agent for cancellation certificates representing their shares of AIDH Stock, against delivery of certificates representing the shares of MIS Stock for which the AIDH shares are to be converted in the Merger.
