MIG Shares definition

MIG Shares means the Company Ordinary Shares to be registered with the SEC under a registration statement on Form F-3 (or similar form), and all amendments and supplements thereto, according to that certain share purchase agreement, dated November 14, 2011, by and among Bxxxx Xxxxxxxx, the Company and others.

Examples of MIG Shares in a sentence

  • In the event that borrowings are used for the Proposed Renewal of Share Buy-Back Authority, the amount of borrowings will depend on the amount of MIG Shares to be purchased by the Company and the appropriate borrowing capacity of the Company.

  • If the purchased MIG Shares are kept as treasury shares, the NA per share would decrease unless the cost per share of the treasury shares purchased is below the NA per share at the relevant point in time.

  • If the purchased MIG Shares are kept as Treasury Shares, the NA per share would decrease unless the cost per share of the Treasury Shares purchased is below the NA per share at the relevant point in time.

  • For MIG Shares so purchased which are retained as Treasury Shares, upon its resale, the working capital and cash flow of the Company will increase.

  • The effects of the Proposed Renewal of Share Buy-Back Authority on the earnings of MIG Group are dependent on the number MIG Shares purchased, the effective funding cost to finance such purchases and/or loss in interest income to MIG Group if internally generated funds are utilised.

  • The funding for the Proposed Renewal of Share Buy-Back Authority will be wholly from internally generated funds and/or borrowings or a combination of both, the proportion of which to be utilised will depend on the actual number of MIG Shares to be purchased, the price of MIG Shares and the availability of funds of the Group at the time of purchase.

  • Further, the purchase of the MIG Shares will result in a lower number of shares being taken into account for purposes of EPS computation.

  • The Board is of the opinion that empowering the Company to undertake the Proposed Renewal of Share Buy-Back Authority is in the best interest of the Company and will provide an opportunity to the Company to purchase MIG Shares on the Bursa Securities for the purpose of stabilising the supply and demand as well as the price of MIG Shares and consequently, the fundamental value of the Company may be preserved.

  • The cash flow of the Company and the Group will be reduced relatively to the number of MIG Shares eventually purchased and the purchase prices of the Shares.

  • The Proposed Renewal of Share Buy-Back Authority, if exercised, will reduce the working capital of the Group, the quantum of which depends on, amongst others, the number of MIG Shares eventually purchased and the purchase prices of the Shares.

Related to MIG Shares

  • H Shares means the overseas-listed foreign invested shares in the share capital of the Company with a nominal value of RMB1.00 each, which are subscribed for and traded in Hong Kong Dollars;

  • VMTP Shares means Variable Rate MuniFund Term Preferred Shares, $0.00001 par value per share, liquidation preference $100,000 per share plus an amount equal to accumulated but unpaid dividends thereon (whether or not earned or declared), of the Trust. The preferences, voting powers, restrictions, limitations as to dividends, qualifications, and terms and conditions of redemption of each series of VMTP Shares are set forth in the VMTP Shares Statement.

  • Amalco Shares means the common shares in the capital of Amalco;

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Equity Shares means the Common Shares and any shares of any other class or series of the Corporation which may from time to time be authorized for issue if by their terms such shares confer on the holders thereof the right to participate in the distribution of assets upon the voluntary or involuntary liquidation, dissolution or winding up of the Corporation beyond a fixed sum or a fixed sum plus accrued dividends;

  • Public Shares means the Ordinary Shares included in the Units issued in the Public Offering; (vi) “Trust Account” shall mean the trust account into which a portion of the net proceeds of the Public Offering and the sale of the Private Placement Warrants shall be deposited; (vii) “Transfer” shall mean the (a) sale of, offer to sell, contract or agreement to sell, hypothecate, pledge, grant of any option to purchase or otherwise dispose of or agreement to dispose of, directly or indirectly, or establishment or increase of a put equivalent position or liquidation with respect to or decrease of a call equivalent position within the meaning of Section 16 of the Securities Exchange Act of 1934, as amended, and the rules and regulations of the Commission promulgated thereunder with respect to, any security, (b) entry into any swap or other arrangement that transfers to another, in whole or in part, any of the economic consequences of ownership of any security, whether any such transaction is to be settled by delivery of such securities, in cash or otherwise, or (c) public announcement of any intention to effect any transaction specified in clause (a) or (b); and (viii) “Charter” shall mean the Company’s Amended and Restated Memorandum and Articles of Association, as the same may be amended from time to time.

  • ASA Shares has the meaning set forth in 2.4(a).

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Newco Shares means the common shares in the capital of Newco;

  • Company Shares means the common shares in the capital of the Company;

  • Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.

  • Placing Shares means the 32,313,130 Shares to be issued by the Company pursuant to the Placing;

  • Offering Shares means the shares of Common Stock issued to the Purchasers pursuant to the Subscription Agreements, and any shares of Common Stock issued or issuable with respect to such shares upon any stock split, dividend or other distribution, recapitalization or similar event with respect to the foregoing.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Preferred Shares means shares of Series A Junior Participating Preferred Stock, par value $.01 per share, of the Company having the rights and preferences set forth in the Form of Certificate of Designations attached to this Agreement as Exhibit A.

  • Co-op Shares Shares issued by private non-profit housing corporations.

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Common Shares means the common shares in the capital of the Corporation;

  • Series C Shares means the shares of Fixed Rate Cumulative Perpetual Preferred Stock, Series C, of the Company.

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • sweat equity shares means equity shares issued by a company to its employees or directors at a discount or for consideration other than cash for providing know-how or making available rights in the nature of intellectual property rights or value additions, by whatever name called;

  • Holdco Shares means the ordinary shares of HoldCo with a par value of US$0.0001 per share.
