Microtune means MicroTune as hereinabove defined and any successor to its business and/or assets as aforesaid which executes and delivers the agreement provided for in this Section or which otherwise becomes bound by all the terms and provisions of this Agreement by operation of law.

  • In addition, attached hereto as Exhibit E is Microtune’s initial disclosure with the U.S. Securities and Exchange Commission of the transaction contemplated under this Settlement Agreement, and Broadcom agrees that such initial disclosure (or any similar initial disclosure determined by Microtune to be advisable based on advice and counsel from Microtune’s outside securities counsel) is a permitted disclosure under this Agreement.

  • In return, the Company agrees to accept and comply with all Microtune existing processes, production procedures, and provide required documentation such as existing part-numbering conventions, DCC procedures, BOM structure, process-FMEA, Capability studies, production releases, and RMA procedures.

  • Nothing in this Section 3.1 shall be construed as conveying any right by implication or otherwise to a Third Party, or constituting a waiver by or limitation on Microtune of any right to assert or reference the judgment received by Microtune in Civil Action No. 4:01cv23 against any Third Party.

  • Microtune and Microtune-LP agree to execute and deliver to the attorney for Microtune, and to cause their appropriate attorneys to execute, all in the manner described in Section 6.2, such dismissals, bond releases for the Bonds, motions and petitions (in originals where possible or by facsimile if necessary) and to deliver executed counterparts to the attorney for Microtune (in originals where possible or by facsimile if necessary) on the Execution Date.
