Any Reserve Funds remaining on deposit pursuant to the terms of this Agreement after the Debt has been paid in full shall be paid (a) if the Mezzanine C Loan is outstanding, to Mezzanine C Lender to be held by Mezzanine C Lender pursuant to the Mezzanine C Loan Agreement for the same purposes as those described in Article 8 of the Mortgage Loan Agreement, and (c) if the Mezzanine C Loan is no longer outstanding, to Borrower.
Borrower shall also pay the first $250,000 (when aggregated with all amounts paid pursuant to the last sentence of Section 17.6 in the Mezzanine A Loan Agreement and the Mezzanine C Loan Agreement) of attorney’s fees for purchaser’s attorneys in connection with Secondary Market Transactions.

The Mezz C Debtor is the borrower in respect of a $110,500,000 loan (the “ Mezz C Loan”) made pursuant to that certain Mezzanine C Loan Agreement, dated as of May 5, 2017, with the lenders party thereto from time to time (as amended, restated or otherwise modified from time to time, the “Mezz C Loan Agreement” and together with related security documents, instruments, guarantees, intercreditor and co-lender agreements, and other documents executed in connection therewith, the “Mezz C Loan Documents”).

The entry of the Confirmation shall constitute a finding of fact that the Entity designated in the Plan Supplement as the Replacement Guarantor is an “Approved Replacement Guarantor” within the meaning of and consistent with sections 1.1 and 5.2.10(g) of each of the Park Avenue Mortgage Loan Agreement, Mezzanine A Loan Agreement, Mezzanine B Loan Agreement and the Mezzanine C Loan Agreement.
