Mexican Security Documents definition

Mexican Security Documents means all instruments, documents and agreements executed by or on behalf of Mexican Restricted Subsidiary or any other Person to guaranty or provide collateral security with respect to the Obligations of Borrower including, without limitation, the Security Agreement, any other security agreement or pledge agreement, any guaranty of the Obligations, any mortgage or deed of trust, and all instruments, documents and agreements executed pursuant to the terms of the foregoing.
Mexican Security Documents means, collectively, (i) the Xxxxx Mexican Pledge Agreement among Foamex, the Administrative Agent and the custodian party thereto and (ii) the Juarez Mexican Pledge Agreement among Foamex, the Administrative Agent and the custodian party thereto and all documents, agreements and instruments executed in connection with the foregoing, which in each case shall be in form and substance reasonably satisfactory to the Administrative Agent.
Mexican Security Documents means the Mexican Non-Possessory Pledge Agreement and the Mexican Equity Interests Pledge Agreement, and each other security agreement, pledge agreement or trust agreement governed by the laws of Mexico to secure any of the Secured Obligations.

More Definitions of Mexican Security Documents

Mexican Security Documents shall have the meaning set forth in the Guarantee and Collateral Agreement.
Mexican Security Documents the Mexican Asset Pledges, the Mexican Equity Pledges, and all other documents, instruments and agreements governed by the laws of Mexico now or hereafter securing (or given with the intent to secure) any of the Foreign Facility Obligations, in each case as amended, restated, supplemented or otherwise modified from time to time.
Mexican Security Documents means the Pledge Agreement executed by the Mexican Parent and all other documents or instruments executed in connection therewith.
Mexican Security Documents means the security documents set forth on Schedule 1.97 attached hereto, as the same now exist or may hereafter be amended, modified, supplemented, extended, renewed, restated or replaced.
Mexican Security Documents means the Stock Pledge Agreement to be executed by RFC for the benefit of the Collateral Control Agent whereby RFC pledges (i) shares, each with a par value of $1.00 (one Peso 00/100) legal currency of Mexico, representing the corporate capital stock of GMAC RFC Auritec, S.A., (ii) shares, each with a par value of $1,000.00 (one thousand Pesos 00/100), representing a portion of the corporate capital stock of GMAC Hipotecaria, S.A. de C.V., S.F.O.L., and (iii) shares, each with a par value of $1,000.00 (one thousand Pesos 00/100), representing a portion of the corporate capital stock of GMAC Financiera, S.A. de C.V., S.F.O.L. and any and all notices, certificates, agreements and other documents to be executed and delivered by RFC pursuant to the foregoing or otherwise in connection with the transactions contemplated by the Stock Pledge Agreement.
Mexican Security Documents means any agreements governed by the laws of Mexico, including (a) each stock pledge agreement (contrato de prenda sobre acciones) to be entered into by each shareholder of the Consolid Mexico Subsidiaries and Skypass Mexico, as pledgors, and the Administrative Agent, as pledgee, with the acknowledgement and consent of the Consolid Mexico Subsidiaries and Skypass Mexico, pursuant to which such shareholders shall grant a pledge in favor of the Administrative Agent, as may reasonably be required by the Administrative Agent (acting on advice of local counsel), and (b) each pledge, security trust, stock pledge or similar agreement, mortgage, deed of trust, assignment, or similar document as is necessary or desirable with respect to any properties or assets of any Consolid Mexico Subsidiaries or Skypass Mexico in order to create a Lien or security interest thereon for the benefit of the Secured Parties and securing the Obligations, including, without limitation, each power of attorneys granting powers for the Administrative Agent to enforce the Lien under any of the Mexican Security Documents in the situations described therein.
Mexican Security Documents means the pledges on Inventory located in Mexico, and any reaffirmations thereof, to be entered into among each Domestic Borrower or Guarantor, respectively, the Agent and the party acting as the respective depositary with respect to certain identified inventory, for the benefit of the Agent.
