MetroPCS HoldCo means MetroPCS, Inc.
Holdco has the meaning set forth in the Preamble.
Comcast means Comcast Corporation, a Pennsylvania corporation.
MLP has the meaning given such term in the introduction to this Agreement.
New Parent shall have the meaning assigned to such term in the definition of the term “Change in Control”.
Topco has the meaning set out in the Preamble;
Newco has the meaning set forth in the first paragraph of this Agreement.
US Holdco means, notwithstanding anything in the Indenture to the contrary, Brookfield Infrastructure US Holdings I Corporation; and
DCO means a derivatives clearing organization as defined in Section 1a(15) of the CEA that is registered with, or has been exempted from registration by, the CFTC and that provides clearing services with respect to any Swaps traded on the SEF or pursuant to the SEF Rules.
Acquisition Subsidiary has the meaning specified in Section 7.14.
OpCo has the meaning set forth in the Preamble.
Constellation has the meaning assigned to that term in the Recitals.
BTCo means Bankers Trust Company, in its individual capacity, and any successor corporation thereto by merger, consolidation or otherwise.
SAP Parent means SAP SE, a European Company (Societas Europaea, SE) established under the laws of Germany and the European Union, registered with the commercial register of the local court of Mannheim, Germany, under HRB 719915, with registered office in Walldorf, Germany, and business address at Dietmar-Hopp-Allee 16, 69190 Walldorf, Germany.
Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.
New Holdco means the direct or indirect Subsidiary of the Ultimate Parent following the Post-Closing Reorganizations.
GP means Gottbetter & Partners, LLP.
CFC Holdco means any Domestic Subsidiary that has no material assets other than Equity Interests of one or more Foreign Subsidiaries that are CFCs.
Atlas means Automated Transportation Logistics Activity System. ATLAS is a computerized information system to which all Shippers have access upon request. ATLAS enables Shippers to nominate and release product and to monitor and coordinate the movement of Petroleum Products while on Carrier's system.
Direct holdings means all publicly traded securities of a company that are held directly by the state treasurer or a retirement system in an actively managed account or fund in which the retirement system owns all shares or interests.
EBS means Electronic Bid Submission.
TWC means The Willxxxx Xxxpanies, Inc., a Delaware corporation.
CCI means Charter Communications, Inc., a Delaware corporation, and any successor Person thereto.
ETP means Energy Transfer Partners, L.P., a Delaware limited partnership.
SpinCo shall have the meaning set forth in the Preamble.
mixed financial holding company means a mixed financial holding company as defined in point (21) of Article 4(1) of Regulation (EU) No 575/2013;
Acquisition Sub shall have the meaning set forth in the Preamble.
