Member of the same Group definition

Member of the same Group has the same meaning as set out in the New Articles;

Member of the same Group means, with respect to any undertaking, an undertaking which is from time to time a Parent Undertaking or a Subsidiary Undertaking of such company or a Subsidiary Undertaking of any such Parent Undertaking;

Member of the same Group means as regards any company, a company which is from time to time a direct or indirect holding company or a direct or indirect subsidiary of that company or a subsidiary of any such holding company;

Examples of Member of the same Group in a sentence

• Other than as required by law, court order or other regulatory authority, that personal data may not be disclosed by a Recipient or any other person except to a Member of the same Group (“Recipient Group Companies”) and to employees, directors and professional advisers of that Recipient or the Recipient Group Companies and funds managed by any of the Recipient Group Companies.

• In the event that the Executive Board has resolved in accordance with Article H5 or H6 that more than one Member of the same Group shall be permitted to remain or become a Member, where one or more of such Members have voting rights at a meeting of the Members, only one Member’s vote shall be counted in respect of a vote on any resolution.

• Any nomination must be seconded by a Voting Member of the same Group, which second can be made in person or in writing, and accepted by the nominee in person or in writing to be included on the ballot.

More Definitions of Member of the same Group

Member of the same Group means as regards any person, a person which is from time to time a Parent Undertaking or a Subsidiary Undertaking of that person or a Subsidiary Undertaking of any such Parent Undertaking.

Member of the same Group means (a) if the Person concerned is a body corporate, any holding company or parent undertaking or subsidiary or subsidiary undertaking or subsidiary or subsidiary undertaking of any such holding company or parent undertaking of such person where “subsidiary” and “holding company” shall have the meanings given to them in section 736 of the Companies Axx 0000, or (b) if the Person concerned is a firm or other unincorporated body, any corporation directly or indirectly controlled (as defined in section 840 of the Income and Corporation Taxes Act 1988) by such Person.

Member of the same Group for this definition means as regards any undertaking, a company which is for the time being a holding company or a subsidiary of that undertaking or a subsidiary of any such holding company;

Member of the same Group means as regards any body corporate, any other body corporate which is from time to time a holding company, parent undertaking or subsidiary of such body corporate, or a subsidiary of any such parent undertaking of such body corporate; "Member of the Same Investor Group" means, in relation to an Investor, any subsidiary undertaking of that Investor, any parent undertaking of that Investor or any subsidiary undertaking of any such parent undertaking from time to time (in each case, excluding any portfolio company thereof);

Member of the same Group means, as regards the Subscriber, a company which is from time to time a holding company or a subsidiary of the Subscriber, or a subsidiary of any such holding company;
