Medical Assets definition

Medical Assets shall have the meaning set forth in Section 2.2.
Medical Assets means the Company's right, title and interest in any assets as set forth on Schedule 1.47A which shall also be deemed to include (a) life insurance policies covering the life of any employee of the Company, and (b) personal effects listed on Schedule 1.47B.
Medical Assets means generally, except as otherwise provided herein, all of the following described properties and assets used or useful in connection with the Business: (i) patient records and patient files; (ii) pharmaceutical supplies and inventories to the extent not already owned by Buyer, an affiliate of Buyer, or NYDM, and to the extent legally transferable by Seller; (iii) all transferrable certificates and licenses, if any, relating to the provision of professional medical services in New York; and (iv) temporary rights to the Medicare provider numbers for the Centers, pending issuance of new numbers to Buyer. The parties agree that assets may be added and removed from the date hereof until the Closing Date in the normal course of conduct of the Business consistent with the practices of Seller and NYDM as they have jointly conducted the Business in the past ("Normal Course"). Specifically excluded from this Agreement, the Medical Assets, and the purchase obligations herein are any and all assets, whether tangible or intangible, not described above (subject to addition and removal of assets by NYDM in the Normal Course), any tax refunds due to Seller, and any bank accounts.

Medical Assets means all assets associated with the practice of medicine pursuant to applicable state and federal Law, including but not limited to, (i) all agreements related to any Payor Programs, (iii) all employment agreements or consulting agreements between the Seller and existing Seller pathologists, and (iv) all licenses, certifications and approvals of Seller Pathologists.

Medical Assets means Physician Group's right, title and interest in and to (i) any drugs, pharmaceuticals, products, substances, items or devices whose purchase, possession, maintenance, administration, prescription or security requires the authorization or order of a licensed health care provider or requires a permit, registration, certification or any other governmental authorization held by a licensed health care provider as specified under any Legal Requirement, (ii) any records of identity, diagnosis, evaluation or treatment of patients, (iii) any insurance policies covering or relating to medical malpractice, (iv) any franchises, licenses, permits, certificates, approvals and other governmental authorizations necessary or desirable to own and operate any of the other Medical Assets, and (v) any contract or agreement that requires performance by a licensed health care provider under any Legal Requirement.

  • Medical equipment means equipment used in a patient care environment to support patient treatment and diagnosis.
