MEC Members definition

MEC Members means the members of the MEC appointed pursuant to the MRA; "MRA" means the Master Registration Agreement dated [ ] 1998; "MRA Forum" means the body of that name appointed pursuant to the MRA; "parties" means parties to the MRA and "party" means a party to the MRA; "Retiring Shareholder" has the meaning given to that expression in Article 10.4; and "shareholder" means the holder of a share or shares in the Company. 2.3. References in these articles to writing include references to any method of representing or reproducing words in a legible and non-transitory form. 2.4. Headings are for convenience only and shall not affect construction. 2.5. If, and for so long as, the Company has only one member, these articles shall (in the absence of any express provision to the contrary) apply with such modification as may be necessary in relation to such a company. 3. Share Capital The authorised share capital of the Company at the date of adoption of this article is (POUND)100 divided in 100 shares of (POUND)1 each. 4.

Examples of MEC Members in a sentence

  • Such removal may be effected by majority vote of the MEC Members or by a two-thirds vote of the Active Medical Staff.

  • Founding Members means the collective reference to American Multi-Cinema, Inc., a Missouri corporation, Cinemark Media, Inc., a Delaware corporation, and Regal CineMedia Holdings, LLC, a Delaware limited liability company.

  • Consortium Members means the members of the Consortium, formed by the Bidder for purposes of the Transaction in accordance with this RFP and shall include members who have submitted the Format for Consortium Agreement (Annexure 5) specified in the RFP.

  • Associate Members means the individuals or firms which have agreed to Joint Venture in connection with the Project;

  • Board Members means the Directors or Trustees of the governing body of the Fund, as the case may be.

  • Household members means those persons who reside in the same home, who have reciprocal duties to and do provide financial support for one another. This term shall include xxxxxx children and legal wards even if they do not live in the household. The term does not include persons sharing the same general house, when the living style is primarily that of a dormitory or commune;

  • Partnership Percentage means the percentage share of each Partner in the Net Income or Net Loss of the Partnership. The Partners’ initial Partnership Percentages shall be proportionate to the Partners’ initial Capital Contributions to the Partnership. Thereafter, subject to Section 1.68(g), such Partnership Percentages shall be adjusted only to reflect a disproportionate Capital Contribution by one or more Partners or a disproportionate distribution to one or more Partners, with disproportion being determined in accordance with Sections 4.2(a) and 4.5(b), except as set forth in Section 1.68(f).

  • Committee Members means persons formally appointed by the Board to sit on or to chair specific committees.

  • the Members means the members of the Club admitted from time to time to membership of the Club in accordance with Rule 5;

  • Participating Companies means any insurance company (including Insurance Company) that offers variable annuity and/or variable life insurance contracts to the public and that has entered into an agreement with one or more of the Funds.

  • Participating Entities and “Participating Entity” are defined on the Coversheet.

  • Minority Shareholders means holders of Shares that were not tendered pursuant to the Offer or in the Subsequent Offering Period (as it may be extended by the Minority Exit Offering Period).

  • Remaining Members has the meaning set forth in Section 11.2.

  • Panel Member ’ means a member of a panel;

  • Class B Member means a Member holding one or more Class B Ordinary Shares.

  • Class C Member means a Member holding the Class C Ordinary Share.

  • Shareholder Group means (i) Shareholder and (ii) any Affiliate or Shareholder Family Entity (as defined in the Shareholder's Agreement) of Shareholder (other than the Company).
