Supplier Representative means the representative appointed by the Supplier from time to time in relation to this Framework Agreement;
Biological agent means any pathogenic (disease producing) micro-organism(s) and/or biologically produced toxin(s) (including genetically modified organisms and chemically synthesized toxins) which cause illness and/or death in humans, animals or plants.
Chelating agent means amine polycarboxylic acids, hydroxycarboxylic acids, gluconic acid, and polycarboxylic acids.
Customer Representative means the representative appointed by the Customer from time to time in relation to the Contract;
Sub-Agent means Citibank International plc.
DIP Agent means the administrative agent for the DIP Lenders as defined in the DIP Credit Agreement.
Lead Agent has the meaning given to it above;
Administrative Agent-Related Persons means Administrative Agent (including any successor agent), together with its Affiliates and the officers, directors, employees, agents and attorneys-in-fact of such Persons and Affiliates.
Distributor representative means a representative similarly employed by a distributor, distributor branch, or wholesaler.
Verification Agent As defined in Section 3.28.
Contractor Agents means Contractor's representatives, employees, officers, Subcontractors, as well as their employees, contractors, officers, and agents.
Managing Agents is defined in the preamble.
Lenders’ Representative means the person duly authorised by the Senior Lenders to act for and on behalf of the Senior Lenders with regard to matters arising out of or in relation to this Agreement, and includes his successors, assigns and substitutes;
Structuring Agent means PNC Capital Markets LLC, a Pennsylvania limited liability company.
Second Lien Administrative Agent means the “Administrative Agent” as defined in the Second Lien Credit Agreement.
Contractor Representative means any of the following:
First Lien Administrative Agent means the “Administrative Agent” as defined in the First Lien Credit Agreement.
Managing general agent or "MGA" means any person who:
Health agent means the Health Agent for the Wellesley Board of Health or his/her designee.
Contractor Agent means any person mandated by a Prime Contractor or consortium/joint venture to do business for and on behalf of, or to represent in a business transaction, the Prime Contractor and thereby acquire rights for the Prime Contractor or consortium/joint venture against NHLS or an organ of state and incur obligations binding the Prime Contractor or consortium/joint venture in favour of NHLS or an organ of state.
Owner Representative means that Person or Persons designated by Owner in a written notice to Contractor who shall have complete authority to act on behalf of Owner on all matters pertaining to the Work, including giving instructions and making changes in the Work. The Owner Representative as of the Contract Date is designated in Section 4.9.
Authorized City Representative means the Mayor, City Manager or Director of Finance of the City, or such other Person at the time designated to act on behalf of the City as evidenced by written certificate furnished to the Trustee containing the specimen signature of such Person and signed on behalf of the City by its Mayor. Such certificate may designate an alternate or alternates, each of whom shall be entitled to perform all duties of the Authorized City Representative.
Administrative Agent means Bank of America in its capacity as administrative agent under any of the Loan Documents, or any successor administrative agent.
Authority Representative means the representative appointed by the Authority from time to time in relation to this Framework Agreement;
Athlete agent means an individual who enters into an agency contract with a student-athlete or, directly or indirectly, recruits or solicits a student-athlete to enter into an agency contract. The term includes an individual who represents to the public that the individual is an athlete agent. The term does not include a spouse, parent, sibling, grandparent, or guardian of the student-athlete or an individual acting solely on behalf of a professional sports team or professional sports organization;
Global Agent has the meaning specified in the preamble, and any duly qualified and appointed successor or successors of U.S. Bank thereto.
