Maximum Original Purchase Percentage definition

Maximum Original Purchase Percentage means, with respect to any Transaction, the percentage specified as the Maximum Original Purchase Percentage in the Confirmation for such Transaction which percentage shall equal the product of (i) the Base Maximum Original Purchase Price Percentage and (ii) the applicable Discount Factor.
Maximum Original Purchase Percentage means, with respect to any Transaction, the percentage specified as the Maximum Original Purchase Percentage in the Confirmation for such Transaction as determined by Buyer in its sole and absolute discretion as of the related Purchase Date.

More Definitions of Maximum Original Purchase Percentage

Maximum Original Purchase Percentage means, with respect to any Eligible Loan, the percentage specified as the Maximum Original Purchase Percentage in the Confirmation for such Transaction as determined by Buyer in its sole and absolute discretion, which percentage shall not exceed the lesser of (i) the percentage rate (rounded to the next highest hundredth of a percent), expressed as a fraction, (A) the numerator of which is the product of (i) fifty percent (50%) and (ii) the underwritten value of the related Mortgaged Property securing such Eligible Loan and (B) the denominator of which is the Market Value of such Eligible Loan as of the Purchase Date thereof and (ii) sixty-five percent (65%). provided however, that the Maximum Original Purchase Percentage for each Transaction shall be reduced by 10% (i.e., if the then Maximum Original Purchase Percentage is 65%, same shall be reduced to 55%) upon the occurrence and continuance for ten (10) days of any Material Adverse Change Event and shall be reduced by an additional 5% for each ninety (90) day period thereafter that such Material Adverse Change Event shall be continuing (any such occurrence and continuance of a Material Adverse Change Event for the applicable period set forth above, a “MAC Reduction Event”, and the related percentage reduction in the Maximum Original Purchase Percentage as provided above, the “MAC Reduction Percentage”).

As to any Distribution Date occurring subsequent to the Cross-Over Date, 100% or such lesser percentage which will cause the Class A Non-PO Principal Balance to decline to zero following the distribution made on such Distribution Date.
