Material Real Property Lease definition

Material Real Property Lease has the meaning set forth in Section 3.17(a).

Material Real Property Lease means any Real Property Leases for which the annual rental exceeds $400,000.

Material Real Property Lease means (i) any Real Property Lease to a single Tenant covering 10,000 square feet or more of rentable area of any individual property and (ii) the Material Real Property Leases (including all amendments and supplements thereto) designated as such on Schedule 5.08(f); provided that no Real Property Lease that relates solely to a restaurant, movie theatre, bowling alley, ice rink, bar or night club or relates solely to a short-term lease of a parking lot shall constitute a Material Real Property Lease.

• Section 3.11 of the Qumu Disclosure Letter contains a complete and accurate list of all Qumu Real Property Leases providing for the payment of annual rent in excess of $100,000 (each, a “Qumu Material Real Property Lease”) and lists for each such Qumu Material Real Property Lease (i) the address of the property to which such Qumu Material Real Property Lease pertains, (ii) the annual rent and (iii) the purpose of the facility to which such Qumu Material Real Property Lease pertains.

• With respect to each Material Real Property Lease, the Company’s possession and quiet enjoyment of the Leased Real Property under such Material Real Property Lease has not been disturbed in any material respect, and to the knowledge of the Company, there are no disputes with respect to such Material Real Property Lease.

• Correct and complete copies of each Material Real Property Lease as in effect on the date hereof have been made available to Buyer prior to the date of this Agreement.

Material Real Property Lease means any Real Property Lease pursuant to which the Company or any Company Subsidiary is required to pay a monthly base rental in excess of $350,000.

Material Real Property Lease means any lease of Real Property by the Company or the Company Subsidiaries under which the lessee thereunder (i) pays $500,000 or more in annual rent or (ii) occupies more than 75,000 square feet of space.
