Material Competitor definition

Material Competitor means an entity, or a division or subsidiary of a multi-division entity or holding company, which engages in business in one or more of the fields in which the Company conducts business and from which the Company derives at least 10% of its annual gross revenues, as determined on the date of the Award Recipient’s termination of Employment with the Company or an affiliate, as applicable.
Material Competitor means an alternative asset manager that materially competes directly with the business of the Sub-Adviser. Current examples of Material Competitors include Apollo Global Management, LLC, The Blackstone Group L.P., Ares Management, L.P., Bxxx Capital, Gxxxx Capital LLC, TPG Capital, Guggenheim Capital, LLC, Gxxxxxx Sxxxx and The Carlyle Group. For the avoidance of doubt, Material Competitors do not include integrated mutual fund company sponsors who do not advise business development companies or boutique lower middle-market credit managers. Current examples of integrated mutual fund company sponsors include Nuveen, LLC and Lxxx Mxxxx, Inc. Current examples of boutique lower middle-market credit managers include Brightwood Capital Advisors, LLC and White Oak Global Advisors, LLC.
Material Competitor means the entities identified in Exhibit H.

Examples of Material Competitor in a sentence

  • Further, during the 12-month period immediately following the termination of the Award Recipient’s Employment for any reason, the Award Recipient will not work for or provide services to, in any capacity, whether as an employee, independent contractor or otherwise, whether with or without compensation, to any Material Competitor (as defined below).

More Definitions of Material Competitor

Material Competitor means, as of the date of the proposed transfer, any Person for which the production of black mass or post production-processing of black mass is its primary business.
Material Competitor has the meaning set forth in Section 20.4(a).
Material Competitor means any Person that, directly or indirectly through Affiliates, is engaged in the marketing, distribution or sale of Training-Oriented Products or Training-Oriented Services. The following terms used in this definition of “Material Competitor” shall have the following meanings: (i) “Training-Oriented Product” means any good, product or thing in any tangible form (including software) that is designed to teach individuals or organizations Individual Effectiveness, Management/Leadership and/or Organizational Execution Skills; (ii) “Training-Oriented Service” means any seminar, session, online course, webinar, consultation or similar interaction, whether or not for a fee, where the subject matter of such service relates to or includes Individual Effectiveness, Management/Leadership and/or Organizational Execution Skills; and (iii) “Individual Effectiveness, Management/Leadership and/or Organizational Execution Skills” means any and all organizational, management, leadership or personal effectiveness skills and the techniques and strategies for attaining such skills including, without limitation, executive coaching, management coaching, performance review, trust-building (in or out of an organizational setting), execution-related skills, personal time management, personal performance, personal goal-setting (including personal time-management, performance and goal setting in any academic or educational environment), family effectiveness, family organization, family goal-setting, family values, personal fitness, wellness and life balance, and any other form of training.
Material Competitor means a Third Party which MARTEK reasonably believes to be a material competitor of MARTEK in the DHA marketplace and/or the Field.

Material Competitor means, at any time, any Person operating a hydrocarbon rail terminal with unit-train capability that is located within a 50 mile radius of the JBBR Terminal.
Material Competitor during the first six (6) months following the Executive's applicable Date of Termination shall mean any fast food franchisor or franchisee in the continental United States, thereafter "Material Competitor" shall mean any Arby's franchisee within 20 miles of any Company locations.
