Maryland Counsel means Xxxxxxx LLP, with offices located at 000 Xxxx Xxxxx Xxxxxx, Suite 900, Baltimore, MD 21202.
Maryland Counsel means Venable LLP, with offices located at 750 East Pratt Street, Suite 900, Baltimore, MD 21202. “Material Adverse Effect” means (i) a material adverse effect on the legality, validity or enforceability of this Agreement, (ii) amaterial adverse effect on the results of operations, assets, business, prospects or condition (financial or otherwise) of the Company and the Subsidiaries, taken as a whole or (iii) a material adverse effect on the Company’s ability to perform in any material respect on a timely basis its obligations under this Agreement.
Maryland Counsel has the meaning set forth in Section 3(b).
