Marketing Registrations definition

Marketing Registrations means any Registration Applications and other regulatory filings and approvals necessary for marketing the Assay.
Marketing Registrations means the European Union Conformity Marking (XX xxxxx) issued by an European Union Notified Body and all other technical, medical, scientific, labeling and similar licenses, registrations, authorizations, permits and approvals of the Products (including marketing authorizations and labeling approvals) issued by the Regulatory Authorities of any country within the Territory other than Japan and held as of the Closing Date by Seller or Seller’s Affiliates or third party distributors (under rights of reservation of Seller or its Affiliates) that are required for the marketing, promotion, distribution or sale of the Products within any country of the Territory other than Japan, all of which are listed on Schedule 2.1(f).

  • Achaogen hereby grants to Ark a nonexclusive, sublicensable and transferable license under any ROW Marketing Registrations and data required for any US/EU Marketing Registrations for the purpose of (i) applying for and obtaining US/EU Marketing Registrations and (ii) Finishing and commercializing the Assay in United States and European Union in the event Ark has exercised its right to commercialize the Assay in the United States and European Union pursuant to the Commercialization Agreement.

  • Ark shall own all such Marketing Registrations for the Assay in the United States and European Union (collectively, the “US/EU Marketing Registrations”), and shall be responsible for and conduct all interactions with such United States and European Union Regulatory Authorities involving such US/EU Marketing Registrations.

  • Seller or one of Seller’s Affiliates own, or through a third party distributor have the beneficial use of the, Japan Product Marketing Approvals and all the Marketing Registrations.

  • Buyer shall be solely responsible for preparing all Transfer Documents required for the assignment of the Patents, Marks, trade names, transfer of the Japan Product Marketing Approvals and the Marketing Registrations (or application for new Marketing Registrations), any other transfers of any other Acquired Assets in the name of Buyer or Buyer’s Affiliates, and shall pay all costs, fees, expenses (including any Transfer Taxes or legalization fees) in connection therewith.

  • There are no proceedings pending or, to Seller’s Knowledge, threatened which could result in the revocation, cancellation or suspension of any Marketing Registrations listed in Schedule 2.1(f) or the Japan Product Marketing Approvals.

Related to Marketing Registrations

  • Product Registrations means the Regulatory Approvals necessary to permit the development, manufacture, marketing, import, distribution, or sale of the Products.

  • Company IP Registrations means all Company Intellectual Property that is subject to any issuance registration, application or other filing by, to or with any Governmental Authority or authorized private registrar in any jurisdiction, including registered trademarks, domain names and copyrights, issued and reissued patents and pending applications for any of the foregoing.

  • international registration means the registration of a mark effected under the Agreement or the Protocol or both, as the case may be;

  • Business registration means a business registration certificate issued by the Department of the Treasury or such other form or verification that a contractor or subcontractor is registered with the Department of Treasury;

  • Registration Books means the records maintained by the Trustee pursuant to Section 2.08 for the registration and transfer of ownership of the Bonds.

  • Form S-4 Registration Statement means the registration statement on Form S-4 to be filed with the SEC by Parent in connection with issuance of Parent Common Stock in the Merger, as said registration statement may be amended prior to the time it is declared effective by the SEC.

  • Registrations means any and all permits, licenses, authorizations, registrations or regulatory approvals (including NDAs) required and/or granted by any Competent Authority as a prerequisite to the development, manufacturing, packaging, marketing and selling of any product.

  • New Registration Statement has the meaning set forth in Section 2(a).

  • Withdrawn Registration means a forfeited demand registration under Section 2.1 in accordance with the terms and conditions of Section 2.4.

  • Rule 462(b) Registration Statement means any registration statement prepared by the Company registering additional Securities, which was filed with the Commission on or prior to the date hereof and became automatically effective pursuant to Rule 462(b) promulgated by the Commission pursuant to the Securities Act.

  • Regulatory Filings means any submission to a Regulatory Authority of any appropriate regulatory application together with any related correspondence and documentation, and will include any submission to a regulatory advisory board, marketing authorization application, and any supplement or amendment thereto.

  • Additional Registration Statement means a registration statement or registration statements of the Company filed under the 1933 Act covering any Additional Registrable Securities.
