Without limiting the generality of the foregoing, each Party shall promptly, but in any event within two (2) Business Days, inform the other Party of any material inspections, proposed regulatory actions, investigations or requests for information or a meeting by any Regulatory Authority with respect to the API or the Product in the Field in the Manufacturing Territory.
Upon the execution of this Agreement, Licensee shall no longer place orders for Licensed Products bearing any trademark and copyright notices used prior to execution of the FMRA and will take reasonable steps to ensure that such goods are no longer manufactured in the Manufacturing Territory; provided, however, that Licensee shall not be required to remove prior trademark and copyright notices already affixed to such garments or to unreasonably disrupt work in progress.
Licensee acknowledges that it does not own, or purport to own, any trademark rights relating to the word BOSS in the Sales Territory or the Manufacturing Territory.
Licensee agrees to obtain all government approvals and registrations which are required under the laws of the Manufacturing Territory as a result of Licensee's activities in connection with this Agreement and to pay any taxes or fees required by any such foreign or domestic government as a result of Licensee's activities under this Agreement other than any taxes payable by Licensor or its affiliates as a result of its receipt of any payments hereunder.
If Rayovac requests MEI to grant Rayovac a non-exclusive license of the Patents to make, have made for Rayovac's sole use, and use any component of the Contract Batteries in Manufacturing Territory from the effective date of this Agreement until the end of the term of this Agreement, MEI agrees to discuss the matter.
