In addition to such Manufacturing Technology Transfer, IDEAYA will use good faith efforts to provide reasonable assistance from and access to IDEAYA employees with relevant knowledge related to such Manufacturing technology.
Unless and until a Manufacturing Technology Transfer is completed pursuant to Section 6.2 (Manufacturing Technology Transfer), Licensee shall purchase from IDEAYA, and IDEAYA shall supply to Licensee, all quantities of the Licensed Compound and Licensed Products for Development and Commercialization of the Licensed Compound and Licensed Products in the Field in the Territory pursuant to the Clinical Supply Agreement or Commercial Supply Agreement, as applicable.

The Manufacturing Technology Transfer Plan: (i) specifies goals and estimated timelines for the achievement of the Manufacturing Technology Transfer; (ii) identifies certain of the technology to be delivered; (iii) specifies the activities related to implementation of such technology in Licensee’s or its designee’s facilities; and (iv) sets forth those obligations assigned to each Party with respect to such technology transfer.
The Parties shall use good faith efforts to negotiate and agree upon the terms of a technology transfer plan as soon as reasonably practicable following Licensee’s request for a Manufacturing Technology Transfer.
