Management Diversity and Inclusion Rate definition

Management Diversity and Inclusion Rate means with respect to any calendar year of the Borrower, the average (stated as a percentage) of (a) the sum of (i) the percentage of employees in a capacity as a Manager (or comparable title), or any title higher than Manager (or comparable title) of the Borrower and its Subsidiaries on a global basis who identify as female as of the last day of such calendar year plus (ii) the percentage of employees in a capacity as a Manager (or comparable title), or any title higher than Manager (or comparable title) of the Borrower and its Subsidiaries on a global basis who identify as Black, Indigenous or people of color as of the last day of such calendar year divided by (b) two (2).

Fair Market Value means, as of any date, the value of Common Stock determined as follows:
Physician means an individual authorized to practice medicine or osteopathy under the law of any state.
Effective Date means each date and time that the Registration Statement, any post-effective amendment or amendments thereto and any Rule 462(b) Registration Statement became or becomes effective.
Site means any location, facility, or property as defined under any Environmental Law, whether or not presently or formerly owned or operated by the debtor, including, but not limited to, disposal sites.
Relevant Period means the period from the passing of this resolution until whichever is the earliest of:
Day means calendar day.
Premises means the location where the Services are to be supplied, as set out in the Specification.
Consumer means a person who is a member of the public, takes possession of food, is not functioning in the capacity of an operator of a food establishment or food processing plant, and does not offer the food for resale.
Fiscal Year means the fiscal year of the Company.
Project means specific activities of the Grantee that are supported by funds provided under this Contract.
Code means the Internal Revenue Code of 1986, as amended.
Interest Period means each period beginning on (and including) the Interest Commencement Date or any Interest Payment Date and ending on (but excluding) the next Interest Payment Date;
Child means any person under eighteen years of age.
Contractor means the individual or entity, that has entered into this contract with the Commonwealth.
Control means the possession, directly or indirectly, of the power to direct or cause the direction of the management or policies of a Person, whether through the ability to exercise voting power, by contract or otherwise. “Controlling” and “Controlled” have meanings correlative thereto.
Facility means the entire operation located on the property where the Equipment is located;
Contract Price means the price payable to the supplier under the contract for the full and proper performance of his contractual obligations.
Services means those functional services ancillary to the supply of the goods, such as transportation and any other incidental services, such as installation, commissioning, provision of technical assistance, training, catering, gardening, security, maintenance and other such obligations of the supplier covered under the contract.
Maturity Date means December 15, 2035.
Minister means the Minister in the Government of the State for the time being responsible for the administration of the Act to ratify this Agreement and pending the passing of that Act means the Minister for the time being designated in a notice from the State to the Company and includes the successors in office of the Minister;
Board means the Board of Directors of the Company.
Employer means the United Nations Development Programme (UNDP).
Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.
Plan means any employee pension benefit plan (other than a Multiemployer Plan) subject to the provisions of Title IV of ERISA or Section 412 of the Code or Section 302 of ERISA, and in respect of which the Borrower or any ERISA Affiliate is (or, if such plan were terminated, would under Section 4069 of ERISA be deemed to be) an “employer” as defined in Section 3(5) of ERISA.
Manufacturer means the person or body who is responsible to the approval authority for all aspects of the type approval process and for ensuring conformity of production. It is not essential that the person or body is directly involved in all stage of the construction of the vehicle, system, component or separate technical unit which is the subject of the approval process.
Licensee means a person licensed under this chapter.
