Major Client definition

Major Client means a client of the Company, a Group Company or the Group where the revenues earned or properly chargeable by the Group as a whole in relation to that client, or a group of companies of which the client is a part, in respect of any one of the three complete financial years of the Company prior to the Termination Date exceed £2 million (excluding VAT or similar taxes).
Major Client has the meaning assigned to such term in Section 2.12(a) of the Agreement.
Major Client. All Service Agreement Clients, as of sixty days prior to the date of this Agreement up to and including the date of its termination;

Examples of Major Client in a sentence

  • The Seller has not received any written notice alleging a claim against Seller (or its officer, members or employees) due to an error or omission in the course of performing services in an engagement for a Major Client.

  • Since December 31, 2022, neither the Seller nor any of its Affiliates has received any compliant from a Major Client.

  • In the twelve (12) months preceding the Closing Date, no Major Client of the Seller has cancelled or otherwise terminated, or, to the Seller’s knowledge, Threatened to cancel or otherwise terminate, its relationship with the Seller, or reduce, or, to the Seller’s knowledge, Threatened to reduce, its business with the Seller.

  • No Major Client has discontinued, materially reduced or otherwise adversely altered (including changing any material term of), or provided written notice of its intention to discontinue, materially reduce or otherwise adversely alter (including to change any material term of), its relationship with the Business.

  • In the twelve months preceding the Agreement Date, no Major Client of ▇▇▇▇▇▇▇▇▇▇ Florida has cancelled or otherwise terminated, or, to the Sellers’ Knowledge, Threatened to cancel or otherwise terminate, its relationship with ▇▇▇▇▇▇▇▇▇▇ Florida, or reduce, or, to the Sellers’ Knowledge, Threatened to reduce, its business with ▇▇▇▇▇▇▇▇▇▇ Florida.

  • To Seller’s Knowledge, there is no basis for any Major Client to discontinue its business relationship with the Business or materially reduce or adversely alter its business relationship with the Business.

  • Except to the extent set forth in Section 5.21 of the Disclosure Schedule, since January 1, 2005, there has not been any claim made against the Company or any Subsidiary by any Major Client involving in excess of One Hundred Thousand Dollars ($100,000).

  • The Company has not received any written notice from a Major Client alleging a claim against the Company (or its officers, members or employees) due to an error or omission in the course of performing services in an engagement for a Major Client.

  • Seller has not received any written notice alleging a claim against Seller (or any officers, shareholders or employees) due to an error or omission in the course of performing services in an engagement for a Major Client.

  • Except as set forth in Schedule 2.20 attached hereto, to the Knowledge of IPSA, no Major Client is asserting or threatening any claim against IPSA (i) under or based upon any warranty provided by or on behalf of IPSA or (ii) under or based upon any other warranty relating to any services performed by IPSA.
