Service Description – Magento Extension for Amazon Sales Channel Magento Extension for Amazon Sales Channel Service Description: Magento extension software and associated hosted software-as- a-service platform for accessing Amazon shoppers by providing features to seamlessly sell and distribute products on Amazon right from the Magento admin.
By purchasing a Magento Extension, the Customer accepts to take autonomously charge of the installation of the Extension.
Customer acknowledges that the Magento Extension may include Open Source Software, which is governed by the applicable license terms thereof.
Unless Customer requests otherwise by providing Notice to Magento, Magento may use Customer’s trade names, trademarks, service marks, logos, domain names and other distinctive brand features (“Customer Marks”) in presentations, marketing materials, customer lists, financial reports, and website listings (including links to Customer’s website) for the purpose of advertising or publicizing Customer’s use of the Magento Extension.
Magento may include means within the Magento Extension to audit or limit Customer’s usage of the Magento Extension to ensure such usage is consistent with the terms of this Agreement and to determine Customer’s AOV and GMV as those terms are defined the Magento Customer Agreement available at: ▇▇▇▇▇://▇▇▇▇▇▇▇.▇▇▇/legal/terms (or its successor locations), and as may be updated by Magento from time totime.
Within thirty (30) days of the Termination Date, Customer shall certify in writing to Magento that Customer has ceased use of the Magento Extension and that all copies or embodiments thereof (including related Documentation) in any form, including partial copies within modified versions, have been destroyed.
For any use of the Magento Extension after the Termination Date, the terms of this Agreement will apply and Customer will pay the applicable fees as set forth under Section 5.
By purchasing a Magento Extension by Webgriffe, a Customer obtains the license to use it as long as the Customer use it in accordance to the Terms and Conditions expressed in this Agreement.
If Customer elects to provide any suggestions, requests for changes, comments or other feedback to Magento or its Affiliates regarding its products or services, including, but not limited to the Magento Extension (“Feedback”), Magento and its Affiliates will be entitled to use and commercially exploit the Feedback without restriction and with no obligation to Customer.
Magento will use commercially reasonable efforts to restore Customer’s rights to use and access those portions of the Magento Extension or Accounts that gave rise to the suspension promptly after Customer has resolved the problem giving rise to the suspension.
