Macquarie Syndication Fee definition

Macquarie Syndication Fee means an amount, calculated on a daily basis, equal to 3.1% per annum on the dollar amount of the Syndication Portion of the Macquarie Investor’s Investment Amount outstanding from time to time between the date of this Agreement and the Investment Closing that has not, as of any date of calculation, either been syndicated or included in the Rejected Portion as of such date; provided, no Macquarie Syndication Fee shall payable if the Syndication Portion is fully syndicated on or before March 16, 2011.
Macquarie Syndication Fee means an amount equal to $169,863.00.

Related to Macquarie Syndication Fee

  • Arranger Fee means a fee charged by the Arranger in relation to each Series of ETP Securities, as modified by the Arranger from time to time, as set out in the Base Prospectus of the Issuer.

  • Arranger Fee Letter means that certain Arranger Fee Letter related to this Agreement, entered into by the Company and dated November 23, 2015.

  • Financing Coordination Fee means the fees payable to the Advisor pursuant to Section 10(e).

  • Agent’s Fee means the fee which is set out in this Agreement and which is payable by the Issuer to the Agent in consideration of the services performed by the Agent under this Agreement;

  • Transaction Fee means the fee, in respect of a Sub-Fund, which may be charged for the benefit of the Trustee, the Registrar and/or the Service Agent or the Conversion Agent (as the case may be) to each Participating Dealer on each Dealing Day upon which an Application has been or Applications have been made by the relevant Participating Dealer.

  • Agent's Fee Letter means the letter agreement, dated as of the date hereof (as hereafter amended from time to time) between the Borrower and the Agent respecting certain fees payable to the Agent for its own account.

  • Investment Management Fee means each of the Senior Investment Management Fee, the Subordinated Investment Management Fee and the Incentive Investment Management Fee.

  • Structuring Fee has the meaning set forth in the Fee Letter.

  • Lender Fee Letter means each fee letter agreement that shall be entered into by and among the Borrower, the Servicer, the applicable Lender and its related Lender Agent in connection with the transactions contemplated by this Agreement, as amended, modified, waived, supplemented, restated or replaced from time to time.

  • Acquisition Fee means any and all fees and commissions, exclusive of Acquisition Expenses, paid by any Person to any other Person (including any fees or commissions paid by or to any Affiliate of the Company or the Advisor) in connection with making or investing in Mortgages or the purchase, development or construction of a Property, including real estate commissions, selection fees, Development Fees, Construction Fees, nonrecurring management fees, loan fees, points or any other fees of a similar nature. Excluded shall be Development Fees and Construction Fees paid to any Person not affiliated with the Sponsor in connection with the actual development and construction of a project.

  • Origination Fee means any origination fee payable to the Department by the lender with respect to any Trust Student Loan.

  • Lead Arranger as defined in the preamble hereto.

  • Co-Syndication Agent means each of Bank of America, N.A., Branch Banking and Trust Company and Xxxxx Fargo Bank, N.A. in its capacity as syndication agent for the credit facility evidenced by this Agreement.

  • Sole Bookrunner means Pareto Securities AB.

  • Arranger means Banc of America Securities LLC, in its capacity as sole lead arranger and sole book manager.

  • Syndication Date means that date upon which the Administrative Agent determines in its sole discretion (and notifies the Borrower) that the primary syndication (and resultant addition of Persons as Lenders pursuant to Section 13.04(b)) has been completed.

  • Auction Agent Fee has the meaning set forth in the Auction Agent Agreement.

  • Arrangers as defined in the preamble hereto.

  • Extension Fee means the fee payable to the Trustee on each occasion the Manager, upon a Participating Dealer’s request, grants the Participation Dealer an extended settlement in respect of a Creation Application or Redemption Application.

  • Joint Lead Arranger as defined in the preamble to this Agreement.

  • Syndication Agent as defined in the preamble hereto.

  • Utilization Fee has the meaning assigned to such term in Section 2.11(b).

  • Transaction Fees means fees paid or payable by the Service Recipients, which are on market terms, with respect to financial advisory services ordinarily carried out by investment banks in the context of mergers and acquisitions transactions.

  • Co-Syndication Agents as defined in the preamble hereto.

  • Acquisition Fees means the fee payable to the Advisor pursuant to Section 8.01 plus all other fees and commissions, excluding Acquisition Expenses, paid by any Person to any Person in connection with making or investing in any Property or other Permitted Investment or the purchase, development or construction of any Property by the Company. Included in the computation of such fees or commissions shall be any real estate commission, selection fee, Development Fee, Construction Fee, nonrecurring management fee, loan fees or points or any fee of a similar nature, however designated. Excluded shall be Development Fees and Construction Fees paid to Persons not Affiliated with the Advisor in connection with the actual development and construction of a Property.

  • Facing Fee shall have the meaning provided in Section 3.01(c).
