Examples of Mackie Shares in a sentence

  • Mackie, as sole trustee, has full authority to act on behalf of the Xxxxx Xxxxxx Irrevocable Trust, the Xxxxxxxx Xxxxxx Irrevocable Trust, the Xxxxxxxxx Xxxxx Irrevocable Trust and the Xxxxxxxx Xxxxxxx Irrevocable Trust to sell their portions of the Mackie Shares, and no consent is required of any other Person for Mackie to enter into this Agreement and consummate the proposed transaction on behalf of the Xxxxxx Xxxxxxx.

  • All of the Mackie Shares and the Xxxxxxxx Shares have been duly authorized, are validly issued, fully paid and nonassessable and are not subject to, nor were they issued in violation of, any preemptive rights or rights of first refusal, and are owned of record and beneficially by each of the Xxxxxx Xxxxxxx and the Xxxxxxxx Sellers, as applicable.

  • At the Closing, the Company, the Xxxxxx Xxxxxxx and the Xxxxxxxx Sellers shall deliver or cause to be delivered to the Purchaser the certificates representing the Company Shares, the Mackie Shares and the Xxxxxxxx Shares, as applicable, duly endorsed in blank or accompanied by duly executed stock powers, with appropriate transfer stamps (if any) affixed thereto.

  • At the Closing, the Xxxxxx Xxxxxxx and the Xxxxxxxx Sellers shall sell to the Purchaser good and marketable title to the Mackie Shares and the Xxxxxxxx Shares, as applicable, free and clear of all Liens.

  • There are no agreements between the Xxxxxx Xxxxxxx or the Xxxxxxxx Sellers or any of them, on the one hand, and any other Person, on the other hand, with respect to the voting or transfer of the Mackie Shares or the Xxxxxxxx Shares or both.

  • The Purchaser understands that each instrument evidencing the Company Shares, the Mackie Shares and the Xxxxxxxx Shares may bear the following legend: "THESE SECURITIES HAVE NOT BEEN REGISTERED UNDER THE UNITED STATES SECURITIES ACT OF 1933, AS AMENDED, OR UNDER ANY OTHER APPLICABLE SECURITIES LAWS.

  • The Purchaser understands that each instrument evidencing the Company Shares, the Mackie Shares and the Xxxxxxxx Shares may bear the following legend: “THESE SECURITIES HAVE NOT BEEN REGISTERED UNDER THE UNITED STATES SECURITIES ACT OF 1933, AS AMENDED, OR UNDER ANY OTHER APPLICABLE SECURITIES LAWS.

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • Exchange Shares has the meaning set forth in Section 2.01(b).

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Purchase Shares has the meaning set forth in Section 2.2(a) hereof.

  • Put Shares means all shares of Common Stock issued, or that the Company shall be entitled to issue, per any applicable Put Notice in accordance with the terms and conditions of this Agreement.

  • Unit Shares has the meaning ascribed thereto in the first paragraph of this Agreement;

  • Common Shares means the common shares in the capital of the Corporation;

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • ASA Shares has the meaning set forth in 2.4(a).

  • Purchased Stock means a right to purchase Common Stock granted pursuant to Article IV of the Plan.

  • Subco Shares means the common shares in the capital of Subco.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Conversion Shares means, collectively, the shares of Common Stock issuable upon conversion of the shares of Preferred Stock in accordance with the terms hereof.

  • Note Shares means the shares of Common Stock issuable upon conversion of the Notes.

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Preferred Shares means shares of Series A Junior Participating Preferred Stock, par value $.01 per share, of the Company having the rights and preferences set forth in the Form of Certificate of Designations attached to this Agreement as Exhibit A.
