M&A Advisory definition

M&A Advisory means the provision of advisory services for a fee or that would normally be for a fee to a Client in respect of any actual or potential (1) acquisition of such Client or of any person by such Client (in each case whether by merger, consolidation, purchase of stock or other equity interests or assets, or otherwise), (2) acquisition of any assets or business of such Client or of any person by such Client, (3) acquisition of an equity interest in such Client or in any person by such Client (in each case other than for normal financing purposes), (4) recapitalization, reorganization or other restructuring (including by means of a spin-off) of a Client, or (5) entry into a licensing, partnership, joint venture or operating agreement involving such Client.

Examples of M&A Advisory in a sentence

  • The M&A Advisory Fee and Debt Placement Fee will become payable by the Company in cash upon the closing of the Transaction.

  • The M&A Advisory Fee and Capital Markets Advisory Fee shall be paid by the Company to LifeSci upon the consummation of the Transaction, including with respect to any portion of the Total Consideration that is contingent, deferred, or subject to escrow or holdback.

  • He has multi-disciplinary expertise (Executive Management, Operational & Financial Restructuring, M&A Advisory, Private Equity, Trading, Derivatives Structuring) in several asset classes (Property, Distressed Debt, Fixed Income, Precious Metals) across varying types of institutions (Listed Property Companies, Private Equity Funds, Investment Banks, Hedge Funds), in several diverse jurisdictions (South Eastern Europe, China, Brazil, Middle East & Western Europe).

  • FRMB has no liability to pay any fees or commissions or other consideration to any broker, finder, or agent with respect to the transactions contemplated by this Agreement, except for the M&A Advisory Fee (as defined under Schedule [ ]).

  • In addition, Portage M&A Advisory has affirmative obligations to the Buyer and Seller of honest dealing and disclosure.

  • Any such M&A Advisory Services are beyond the scope of the Engagement and shall be subject to a separate engagement and additional compensation as agreed by the parties hereto.

  • Sellers represent to Buyer that they have contracted with JTice CPA PC for M&A Advisory Services, and have not dealt with any broker, finder, or commissioned agent in connection with the contemplated transactions and that neither Sellers nor the Companies will owe any other party a commission, finder’s fee, or similar in connection with the execution of the Purchase Agreement or the closing of the contemplated transactions.
