The Luxembourg Borrower shall not be required to pay or indemnify any Lender or the Agents for any registration duties (droits d’enregistrements) pertaining to the registration of a Loan Document if such registration is not required to preserve the rights of any such Lender or Agent.
All the legal requirements of the Luxembourg law of May 31, 1999, as amended, regarding domiciliation companies have been complied with by the Luxembourg Borrower.

The foregoing shall not apply where the Supplier has produced the contract parts pursuant to drawings, models or other descriptions provided to it by LANTAL or pursuant to details/instructions by LANTAL constituting the equivalent thereof, and does not know—and, in connection with the products developed by it, does not bear a duty to know—that this constitutes an infringement of intellectual property rights.
