Luxembourg Borrower definition

Luxembourg Borrower has the meaning specified in the introductory paragraph hereto.
Luxembourg Borrower any Borrower whose registered office/place of central administration is in Luxembourg and whose centre of main interests (as that term is used in Article 3(1) of Regulation (EU) 2015/848 of the European Parliament and of the Council of 20 May 2015 on insolvency proceedings (recast)) is in Luxembourg.
Luxembourg Borrower means any Luxembourg Subsidiary that becomes a Subsidiary Borrower pursuant to Section 2.23 and that has not ceased to be a Subsidiary Borrower pursuant to such Section.

  • The Luxembourg Borrower shall not be required to pay or indemnify any Lender or the Agents for any registration duties (droits d’enregistrements) pertaining to the registration of a Loan Document if such registration is not required to preserve the rights of any such Lender or Agent.

  • All the legal requirements of the Luxembourg law of May 31, 1999, as amended, regarding domiciliation companies have been complied with by the Luxembourg Borrower.

More Definitions of Luxembourg Borrower

Luxembourg Borrower means a Designated Borrower that is organized, incorporated or formed under the laws of Luxembourg.
Luxembourg Borrower shall have the meaning set forth in the Preamble.
Luxembourg Borrower means a Subsidiary Borrower that (i) is organized under the laws of Luxembourg, (ii) has its center of main interests, within the meaning of the Insolvency Regulation, in Luxembourg or (iii) has an establishment, within the meaning of the Insolvency Regulation, in Luxembourg.
Luxembourg Borrower means OD International (Luxembourg) Finance S.À X.X., a private limited liability company (a société à responsabilité limitée) incorporated under the laws of Luxembourg, having its registered office at 0X, xxx Xxxxxxx Xxxxxxx, L-5365 Munsbach and registered with the Luxembourg Trade and Companies Register under number B 93.853.
Luxembourg Borrower as applicable, a “European Borrower” or a “Borrower” for purposes of this Agreement or any other Loan Document, but shall continue to constitute a “Loan Guarantor” for purposes of this Agreement and the other Loan Documents until released from its obligations under its Loan Guaranty in accordance with clause (viii) of the proviso in Section 9.02(b).
Luxembourg Borrower means Xxxxxxx Luxembourg International S.à x.x., a private limited liability company (société à responsabilité limitée) incorporated under the laws of the Grand-Duchy of Luxembourg having its registered office at 00-00, Xxxxxxxxx Xxxxxxxx 0xx, X-0000 Xxxxxxxxxx, registered with the Luxembourg Register of Commerce and Companies under number B160769 with a share capital of €107,725.
Luxembourg Borrower shall have the meaning assigned to such term in the introductory statement to this Agreement.
