LTM Pro Forma EBITDA definition

LTM Pro Forma EBITDA means Pro Forma EBITDA for the four most recent consecutive fiscal quarters ending at least 45 days prior to the date of determination for which financial statements are available.
LTM Pro Forma EBITDA means, with respect to any Person, at any date, the Consolidated EBITDA of such Person during the four full fiscal quarters (the “Four Quarter Period”) ending prior to the date of the transaction giving rise to the need to calculate the LTM Pro Forma EBITDA for which financial statements are available (the “Transaction Date”).
