Local Demand definition

Local Demand means, with respect to a given country in the Territory and with respect to any given period of time specified in any forecast or order prepared hereunder, the unit quantities of the Combination Product required during such period to meet the treatment needs of HIV patients within such country, as determined objectively in accordance with the Forecast Principles.

  • The Service Provider shall, during the Contract Service Term, hold and maintain in good standing all permits, licenses and other authorizations that may be necessary to enable it to operate the Demand Response Resource and provide Local Demand Response Service and carry on the business and perform the functions and obligations of a demand response market participant as described in the market rules.

  • The Service Provider shall provide, perform and carry out everything required to operate the Demand Response Resource, as applicable, and provide the Local Demand Response Service in accordance with Applicable Laws and terms and conditions of this Agreement.

  • Any Forecast proposed by a Party hereunder shall be based on Local Demand in each country in the Territory as determined based on the Forecast Principles and Supporting Data set forth in Annex K.

  • The determination of the Designated EUOC Members shall be made based on Local Demand.

  • Further, all Forecasts agreed pursuant to clause (ii) below shall be based on Local Demand in each country in the Territory as determined based on the Forecast Principles and Supporting Data set forth in Annex K and shall be prepared in good faith and with due diligence, care and consideration.

Related to Local Demand

  • Peak Demand means the maximum Metered Demand in the last 12 months;

  • Billing Demand means the metered demand or connected load after necessary adjustments have been made for power factor, intermittent rating, transformer losses and minimum billing. A measurement in kiloWatts (kW) of the maximum rate at which electricity is consumed during a billing period;

  • on demand means a system where a user, subscriber or viewer is enabled to access, at a time chosen by such user, any content in electronic form, which is transmitted over a computer resource and is selected by the user;

  • Certificate of Unpaid Demand Note Demand means a certificate substantially in the form of Annex B to any Multi-Series Letter of Credit.

  • Video-On-Demand or “VOD” means a programming system for transmission and retransmission of a single motion picture or programme (or series of related programs) delivered by means of a telecommunications or other technical system from a digital storage devise or presented in any form that permits Exhibition of such motion picture or programs in a non-linear form at the discretion of the viewer.
