Subject to the terms and conditions set forth herein and in the DIP Order, on the Closing Date, each Junior Loan Lender’s Junior Loan Allocation of such Lender’s 2018 Notes (“9.75% Tranche Loans”) and each Junior Loan Lender’s Junior Loan Allocation of such Lender’s 2019 Notes (“10.625% Tranche Loans”) shall be deemed to have been made as a term loan by such Junior Loan Lender, and borrowed by the Company, under this Agreement.
Loans that are Eligible Required Retention Loans shall be allocated to Bank in accordance with the Required Retained Loan Allocation Methodology at the time the Borrower under any such Loan achieves credit approval.
The proceeds of the Loan shall be used by Borrower to pay the cost of the construction of the Improvements on the Land, and other costs regarding the Property if and to the extent that such costs are specifically provided for in the Loan Allocation column in the Budget.
Further, if, at any time, the outstanding balance of the Loan exceeds (a) the Loan Amount, (b) the Loans-to-One-Borrower Limitation, (c) the Borrowing Base approved by Lender, or (d) as to any individual Property, the Loan Allocation for that Property, then Borrower shall immediately pay in cash to Lender, following receipt of a written demand therefor, the amount of such excess.
Notwithstanding any other provision of this Agreement to the contrary, in the event that the aggregate Loan Allocations for the Lots and Homes included in the Qualified Projects exceeds any Maximum Aggregate Loan Allocation, then the Borrowing Availability shall be reduced in the amount by which said Loan Allocations exceeds any Maximum Aggregate Loan Allocation.
