The participants were from Canada, France, Germany, Iceland, Norway, Spain, United Kingdom, and USA (Table 1).
WTO Agreement means the Agreement Establishing the World Trade Organization, done at Marrakesh on 15 April 1994.
Arrangement Agreement means the arrangement agreement dated as of April 18, 2019 between the Purchaser and the Company, including the schedules and exhibits thereto, providing for, among other things, the Arrangement, as the same may be amended, supplemented or restated.
SPS Agreement means the Agreement on the Application of Sanitary and Phytosanitary Measures which is a part of the WTO Agreement; Subheading means the first six digits in the tariff classification number under the HS; Territory means:
TO Agreement means this signed TO Agreement between DoIT and TO Contractor.
Additional Agreement has the meaning assigned to such term in Article 8.
Exchange Agreement has the meaning set forth in the Recitals.
Support Agreement has the meaning set forth in the Recitals.
Shareholder Agreement has the meaning set forth in the Recitals.
TRIPS Agreement means the Agreement on Trade-Related Aspects of Intellectual Property Rights;
Programme Agreement means the programme agreement entered into on or about the date hereof between, inter alios, the Guarantor, the Sellers, the Issuer, the Representative of the Covered Bondholders and the Dealers.
Framework Agreement means the Clauses of this Framework Agreement together with the Framework Schedules and annexes to it;
Reorganization Agreement has the meaning set forth in the recitals.
TBT Agreement means the Agreement on Technical Barriers to Trade, which is part of the WTO Agreement;
PILOT Agreement means the Agreement for Payments in Lieu of Ad Valorem Taxes entered into by and among the Board, the Company, the City and the County.
Transaction Agreement has the meaning set forth in the recitals.
Share Transfer Agreement means the share transfer agreement, in the agreed form, between the partners in the Company;
Tripartite Agreement shall have the meaning ascribed to such term in Recital VI of this Agreement;
Lock-Up Agreement means the Lock-Up Agreement, dated as of the date hereof, by and among the Company and the directors and officers of the Company, in the form of Exhibit B attached hereto.
Stockholder Agreement means the Stockholder Agreement, dated as of August 29, 2003, among the Company and its stockholders, as amended and in effect from time to time.
Initial Agreement has the meaning set forth in the Recitals.
Shareholder Agreements has the meaning set forth in the recitals to this Agreement.
Implementation Agreement means the Implementation Agreement dated ……… by and between the GOB, PGCB and the Company in connection with the Project, and also includes any amendment of it made from time to time;
Main Agreement means the part of this Agreement that commences on the first page and ends with but includes Schedule A, excluding Section 3(d) (which incorporates this Schedule C into the Agreement).
Netting agreement means a netting agreement, master netting agreement or other similar document having the same effect as a netting agreement or master netting agreement and, as applicable, any collateral annex, security agreement or other similar document related to any master netting agreement or Permitted Contract.
New Management Agreement means the management agreement to be entered into between Buyer and the Manager for the operation and management of the Hotel on and after the Closing Date.
Parent Agreement has the meaning given to it in Clause 12;
