Liquidated Liabilities definition

Liquidated Liabilities has the meaning set forth in Section 2(h) below.
Liquidated Liabilities means all obligations of Seller required to be recorded as a liability on Seller’s balance sheet from time to time, such determination to be made in accordance with GAAP.

Examples of Liquidated Liabilities in a sentence

  • If the value of the Liquidated Assets is less than the value of the Liquidated Liabilities, the Company shall pay to NTI the amount of the deficiency within thirty (30) days following delivery of the Liquidation Certificate.

  • If the value of the Liquidated Assets exceeds the value of the Liquidated Liabilities by more than US$25,000, NTI shall pay to the Company the amount in excess of US$25,000 within thirty (30) days following delivery of the Liquidation Certificate.

  • If the value of the Liquidated Assets is equal to the value of the Liquidated Liabilities or the value of the Liquidated Assets does not exceed the value of the Liquidated Liabilities by more than US$25,000, there will be no adjustment to the purchase price and the Parties will have no further liability with regards to this Section 2(h).

Related to Liquidated Liabilities

  • Consolidated Liabilities means the sum of (i) all liabilities that, in accordance with GAAP, should be classified as liabilities on a consolidated balance sheet of Borrower and its Consolidated Subsidiaries and the Guarantors, and (ii) to the extent not included in clause (i) of this definition, all Redeemable Preferred Stock.

  • Stated Liabilities means the recorded liabilities (including contingent liabilities that would be recorded in accordance with GAAP) of the Borrower and its Subsidiaries taken as a whole, as of the date hereof after giving effect to the consummation of the Transactions, determined in accordance with GAAP consistently applied.

  • related liabilities means liabilities incurred or assumed for the purpose of financing the acquisition or ownership of financial assets and liabilities that are secured by financial assets;

  • Subordinated Liabilities means liabilities subordinated to the Borrower’s obligations to the Bank in a manner acceptable to the Bank in its sole discretion.

  • Related Liability Amount with respect to any Related Liability on the books of the Assuming Institution, means the amount of such Related Liability as stated on the Accounting Records of the Assuming Institution (as maintained in accordance with generally accepted accounting principles) as of the date as of which the Related Liability Amount is being determined. With respect to a liability that relates to more than one asset, the amount of such Related Liability shall be allocated among such assets for the purpose of determining the Related Liability Amount with respect to any one of such assets. Such allocation shall be made by specific allocation, where determinable, and otherwise shall be pro rata based upon the dollar amount of such assets stated on the Accounting Records of the entity that owns such asset.
