Liquid Market definition

Liquid Market means a market for a financial instrument or a class of financial instruments, where there are ready and willing buyers and sellers on a continuous basis, assessed in accordance with the following criteria, taking into consideration the specific market structures of the particular financial instrument or of the particular class of financial instruments:
Liquid Market means a market that meets the criteria specified in section 1.2;
Liquid Market means that there are sufficient willing parties (being at least two parties each of whom is capable of submitting a Compliant Bid in a Re-Bidding Process and each of whom deals with the Authority at arm’s length) in the market for agreements in Canada for the provision of services under public private partnerships or other basis similar to this Agreement for the price that is likely to be achieved through a competitive process to be a reliable indicator of the Fair Market Value of a New Project Agreement, provided that any entity controlled and established by the Senior Lenders specifically for the purposes of this Project will not be counted for the purpose of determining whether there are sufficient willing bidders in the market;

  • If the Developer elects not to transfer the Energy System to an Affiliate pursuant to paragraph 2.1.1 above then, provided there is a Liquid Market, the Developer shall undertake the Tender Process in accordance with paragraph 4.2. The following provisions shall apply in respect of the Tender Process:- The objective of the Tender Process shall be to establish and for the Developer to pay to ESCo the Highest Compliant Tender Price, as a result of the Tender Process.

Liquid Market means that there are sufficient willing parties (being at least two parties, each of whom is capable of being a Suitable Substitute Contractor) in the market for design, build, finance and maintain contracts or similar contracts for the provision of services (in each case the same as or similar to this Agreement) for the price that is likely to be achieved through a tender to be a reliable indicator of Fair Value provided always that any vehicle controlled and established by the Senior Funders specifically for the purposes of the Project and to which this Agreement may be novated shall be discounted in assessing whether there are sufficient willing parties in the market for such purposes;
Liquid Market has the meaning set out in Schedule 9 [Compensation on Termination];
Liquid Market has the meaning set out in Schedule 9 [Compensation on Termination]; “Longstop Date” means January 31, 2017, as adjusted in accordance with this Agreement; “Long Stop Return Date” has the meaning set out in Section 4.10 of Schedule 8 [Payments];
Liquid Market means that there is at least two (2) willing parties who are capable of being a Suitable Substitute Provider in the market of district heating providers similar to this Agreement and the Framework Supply Agreement for the price that is likely to be achieved through a tender to be a reliable indicator of the amount at which an arrangement of this nature could be exchanged in an arms‑length transaction between informed and willing parties (other than in a forced or liquidated sale)
Liquid Market means a market that meets the criteria specified in section 1.2; "market capitalization" of an issuer means, for a transaction, the aggregate
