Licensing Revenues definition

Licensing Revenues has the meaning set forth in Section 10.2.

Licensing Revenues means any revenues or any other consideration related to such the licensing or other arrangements (including but not limited to upfront payments, license fees, regulatory or sales milestone payments, royalties and/or profit sharing revenues) received by Selecta under any licensing or other arrangements with a Third Party with respect to any Licensed Product(s) whereby any data or license rights are transferred, assigned or licensed by to a third Party after a Program Transfer.

Licensing Revenues means percentage-of-sales payments and Specialty Royalty Payments received by BioChem, BV or TII with respect to an Acquired Product.

Examples of Licensing Revenues in a sentence

• The Contractor’s obligation to provide Annual Reports shall commence on February 1 of the calendar year following either the Contractor’s receipt of Final Payment pursuant to Section 4.03 hereto, at such time as Licensing Revenues become due to the Contractor or upon the first Sale, whichever event occurs first.

• If, however, Sales are made in subsequent years, or Licensing Revenues become due to the Contractor, the Contractor’s obligation to submit Annual Reports shall resume.

• Upon a Sale of a Product that does not qualify as a New York State Product, or at such time as Licensing Revenue become due to the Contractor with respect to a Product that does not qualify as a New York State Product, Contractor shall pay to NYSERDA: (i) five percent (5%) of the Sales Revenue, or (ii) thirty percent (30%) of all Licensing Revenues accruing to the Contractor.

• Alzheon and its Affiliates shall keep for at least [ * ] from the end of the calendar year to which they pertain, complete and accurate books and records sufficient to support and confirm the calculation of gross invoiced sales, Net Sales, exchange rates, Royalties, Licensing Revenues and Third Party Payments under this Article 4.

More Definitions of Licensing Revenues

Licensing Revenues means all remuneration received by Del Mar and its Affiliates from Third Party licensees with respect to the development or commercialization of Products, including (i) royalties (whether prepaid, advance or running) based on sales of Products by Third Party licensees or their sublicensees; (ii) any licensing fees for rights to develop or commercialize Products, or other payments in connection with the licensing of rights with respect to Products, the Assigned Patents or Materials; (iii) milestone payments based on development, regulatory or commercialization milestones for Products; but excluding (A) equity purchases of Del Mar securities to the extent not exceeding the fair market value of such securities; and (B) equity, credit, barter, benefit, advantage, concession or amounts paid by the Third Party licensees or other collaborators or funders as advance payment or reimbursement for contract research and development activities. If Del Mar and its Affiliates accept any form of consideration other than monies in lieu of such payments from Third Party licensees, such consideration will be converted into an equivalent monetary value, and such monetary value will be considered Licensing Revenues to Del Mar and its Affiliates under this Agreement. “Licensing Revenues” exclude all Net Sales received by Del Mar and its Affiliates.

Licensing Revenues means any revenue recognized by Acquirer (in accordance with GAAP, as historically applied by Acquirer) due solely to any License Payment; and for the avoidance of doubt, Licensing Revenues does not include any amounts paid to Acquirer for support or maintenance services or engineering or development services.

Licensing Revenues means, with respect to the Product, the licensing revenues, including royalties, actually received by the Buyer or any of its Affiliates from a Person (excluding any direct or indirect wholly-owned subsidiary of Azur Pharma Limited) pursuant to any sublicense agreement with such Person relating directly to the Product in any territory outside the United States, reduced by (i) any royalty payments to CIMA Labs, Inc. pursuant to Seller’s current contractual obligations to CIMA Labs, Inc. for such payments, (ii) any Net Non-US Licensing Revenues (as such term is defined in the Unit Purchase Agreement) payable pursuant to the Unit Purchase Agreement and (iii) any of such licensing revenues that are non-recurring milestone payments not based upon Product sales.

Licensing Revenues means any and all forms of consideration that either Party receives from a Third Party Partner in connection with a Partnering Agreement, which may include upfront license fees, annual license or maintenance payments, milestone payments, royalties, imputed income on interest-free loans received from such Third Party and other similar payments. Subject to the provisions of Section 4.3(b) Licensing Revenues do not include payments made by any third party licensee to either Party for manufacture and supply agreements for Aradigm Technology and/or Cydex Technology, licenses for the right to manufacture Aradigm Technology or CyDex Technology or costs associated with the transfer of manufacturing technology.

Licensing Revenues means […***…] revenue that ASLAN receives, directly or indirectly, from a Third Party in connection with the grant of rights to Licensed Technology (including in respect of any option), but excluding any portion of such revenue which is payable under Section 10.1.

Licensing Revenues will mean any payments that Regulus receives from a Third Party in consideration of a license to further the Development and Commercialization of a Discontinued Product, in each case including, but not limited to, upfront payments, license fees, regulatory or sales milestone payments, royalties and/or profit sharing payments, but excluding: (i) payments made in consideration of […***…], (ii) payments to […***…], and (iii) payments to […***…].
