Licensee Pre-Effective Date Costs means Seventy-Five Thousand Eight Hundred Thirty-Eight Dollars and Thirty-Four Cents ($75,838.34), which amount represents out-of-pocket marketing and development costs incurred by Licensee or its Affiliates with respect to the Product prior to the Effective Date.
