LICENSED PRODUCT KNOW-HOW definition

LICENSED PRODUCT KNOW-HOW means Know-how which: (a) is Controlled by ALTUS as of the Effective Date or hereafter during the Term of this Agreement, and (b) is necessary to manufacture, commercialize, market, sell and distribute the Licensed Product in the Territory.
LICENSED PRODUCT KNOW-HOW means, (a) other than the Product Know-How, all technology, technical information, know-how and data, including inventions (whether patentable or not), patent disclosures, assays, discoveries, trade secrets, specifications, instructions, processes, manufacturing processes, formulae, formulations, chemical or biological manufacturing and control data and quality control and testing procedures, including all biological, chemical, pharmacological, biochemical, toxicological, pharmaceutical, physical, safety, quality control, preclinical and clinical data that are (i) identified or identifiable in a tangible form, (ii) as of the Closing Date, solely owned by or co-owned among the Divesting Entities, (iii) used by or on behalf of any Divesting Entity for or in connection with the Manufacturing of any Product for Exploitation in the applicable Field in the applicable Territory or the maintenance of any Purchased Product Registration at any time during the twelve months prior to or after the Closing Date and (iv) in the possession or Control of any Divesting Entity; and (b) Seller Know-How Improvements (as defined in the Transitional Supply Agreement); provided, that Licensed Product Know-How does not include any of such information that is (x) general Manufacturing know-how or (y) software and, for clarity, does not include any biological or chemical materials.
LICENSED PRODUCT KNOW-HOW means, and be limited to, SELLER's know-how and other technical information in existence on the Effective Date and to the extent that such know-how and other technical information is contained in the documents or expressly disclosed by the items listed in Exhibit B. Notwithstanding the foregoing, the term "Licensed Product Know-how" shall expressly exclude the Design Kit Information, Semiconductor Process Information, Package Assembly Information, PowerPC Information, Ethernet MAC information and third party information even if such know- how or information is contained in the documents or expressly disclosed by the items listed in Exhibit B. Notwithstanding any definition of "Confidential Information" in the Confidentiality Agreement, the Licensed Product Know-how shall be deemed to be Confidential Information of SELLER, even if not labeled as such.

LICENSED PRODUCT KNOW-HOW means any and all information, ideas, inventions, data, files, plans, operating records, instructions, processes, formulas, formulation information, manufacturing technology, validations, package specifications, chemical specifications, chemical and finished goods analytical test methods, stability data, all clinical data, product specifications, information and inserts, information with respect to expert opinion, drawings, formulae, reports and information (whether or not patented or patentable), technology, techniques, and other Intellectual Property (excluding Patents and Trademarks), including all clinical, non-clinical, safety and adverse event report data and databases and manufacturing know-how related to or reasonably necessary to make and have made the Product throughout the world for use, sale and distribution in the Territory, and use, have used, offer to sell, sell, have sold, imported and have imported the Product in the Territory, that as of Closing are owned or Controlled by Seller or any of its Affiliates and used by Seller and Company in the Business, provided thatLicensed Product Know-How” excludes (x) any Intellectual Property that are licenses for commercial “off-the-shelf” or “shrink-wrap” software, and (y) administrative, finance and other infrastructure and back office information technology systems, networks and software.
LICENSED PRODUCT KNOW-HOW shall have the meanings set forth in the Intellectual Property Agreement.

Related to LICENSED PRODUCT KNOW-HOW

  • Product Know-How means all the know how, trade secrets, expertise, inventions, discoveries, technical information and other unpatented information related solely and specifically to the Product, that is owned or controlled by Seller or its Affiliates and used in the Territory, including, but not limited to, all information presently used by the Seller to make, have made, use or sell the Product.

  • Licensed Know-How means all Know-How that (a) is Controlled by Pfizer or any of its Affiliates as of the effective date of the Pfizer-MPP Agreement, (b) directly relates to the use of the Compound, Product or Licensed Product in the Field, and (c) is not in the public domain or otherwise generally known. For the avoidance of doubt, (i) Licensed Know-How shall not include any Know-How to the extent solely and directly related to any other Pfizer compound or to the extent related to the use of the Compound, Product or Licensed Product outside the Field and (ii) Licensed Know-How includes only that Know-How, designated by Pfizer in its sole discretion, necessary for the manufacture, registration and commercialization of the Compound and/or Licensed Product for use in the Field. For the avoidance of doubt, Licensed Know-How excludes any Know-How related to ritonavir that has been (either as of the Effective Date or at any time during the term of this Agreement) in-licensed by Pfizer from any Third Party.

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

  • Licensed Product means a product, method or service in the Licensed Field of Use, the making, having made, using, importing or selling of which, absent this license, infringes, induces infringement, or contributes to infringement of a Licensed Patent.

  • Licensed producer means a person or entity licensed to produce medical cannabis.

  • Manufacturing Know-How means, with respect to the Product or any Variant thereof, the technology, data, designs, processes, methods, specifications and other know-how used in connection with the formulation, manufacture, labeling, packaging, quality control, release testing, and production of the Product, and all ingredients used therein and portions thereof.

  • Collaboration Product means a pharmaceutical product containing or comprising Compound in any dosage form alone, or in combination with, one or more other pharmaceutically active ingredients, and any and all Improvements thereto.

  • Licensor Know-How means any and all Know-How that (a) is Controlled by Licensor or any of its Affiliates as of the Effective Date or at any time thereafter during the Term and (b) pertains to the Manufacture, use or sale of Licensed Products, including Research Inventions (other than Research Patents).

  • Licensed Technology means the Licensed Patents and the Licensed Know-How.

  • Hemp product means the same as that term is defined in § 3.2-4112.

  • Collaboration Know-How means all Know-How conceived, discovered, developed or otherwise made by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing (solely or jointly by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing) in the course of [***].

  • Licensed Fields of Use means the fields of use identified in Appendix B.

  • Licensed Field means all fields of use.

  • Licensed Compounds means any EZH2 Compound(s) that is:

  • Diagnostic Product means any test or assay for diagnosing or detecting a disease, disorder, medical condition, or symptom.

  • Licensed Territory means worldwide.

  • Licensed Field of Use means all fields.

  • Licensor Technology means the Licensor Patents and the Licensor Know-How.

  • Licensee Know-How means all Information and Inventions Controlled by Licensee or its Affiliates (other than the Takeda Know-How and Joint Know-How) during the Term that are necessary to Exploit a Licensed Compound or a Licensed Product. Licensee Know-How excludes any Information contained within or Inventions Covered by a published Licensee Patent Right.
