Licensed Firmware definition

Licensed Firmware means Supplier microcode which forms an integral part of a Product that is made available by Supplier to Sun under this Agreement,, including (a) any diagnostics, set-up configuration software and device drivers included in such microcode; and (b) Updates and Upgrades that are made available by Supplier to Sun under this Agreement.
Licensed Firmware means the object code version of the computer programs incorporated, embedded, or otherwise provided by Seller for use in connection with the Hardware.
Licensed Firmware means all or a portion of the Licensed Firmware Source Code is owned by Inertial Solutions, including any modifications, improvements and re-releases provided by Inertial Solutions to the User.

  • Seller shall promptly replace any work-around, patch, or other temporary correction provided to Buyer, in response to a Program Error, with a permanent correction and, in any event, shall include such permanent correction in the next release of the Licensed Firmware.

  • Buyer is not obligated to keep confidential the Licensed Firmware in object code or written form.

  • Buyer shall refrain, however, from any reverse compilation, disassembly, or other attempt to obtain the Licensed Firmware in source code form, except to the extent permitted by law.

  • Seller shall provide the following updates for the Licensed Firmware: the annual delivery to Buyer of all corrections, updates, new releases, or new versions of the Licensed Firmware, together with all accompanying Documentation, promptly after final testing, but in no event later than the date made available to Seller's general customer base.

  • Buyer may, but need not, use any, some, or all of the corrections, updates, new releases, or new versions of the Licensed Firmware delivered under this Section.

  • From time to time, Seller may request, and Buyer shall furnish (to the extent it has the legal right to do so), certain data generated by the Licensed Firmware as reasonably required by Seller to perform its obligations under this Section.

  • For Program Errors other than Critical Program Errors, Seller shall use its best efforts to correct them either through the development and provision of corrective code for the Licensed Firmware or through corrective addenda or substitute pages for the Documentation, or both.

  • The Licensed Firmware shall be compatible with the operating system, application programs, computing equipment, and networks contemplated by the Documentation.

  • The Licensed Firmware shall not contain any virus, Trojan Horse, worm, time bomb, back door, or other firmware routine designed to disable a computer program automatically or permit unauthorized access.

  • If no media are specified, Seller will deliver the Licensed Firmware on the media that Seller customarily provides to end users of the Hardware.

Licensed Firmware means Infortrend firmware which forms an integral part of a Product, including: (a) any diagnostics, set-up configuration software and device drivers included in such microcode; and (b) any Updates and Upgrades to such firmware that are made available by Infortrend to Dot Hill under this Agreement.

Related to Licensed Firmware

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Licensed Technology means the Licensed Patents and the Licensed Know-How.

  • Licensor Technology means the Licensor Patents and the Licensor Know-How.

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Licensed Content means those articles or other parts of a Licensed Title which form part of the content licensed (including all content published during the Subscription Period to which access and use rights are granted under this Licence, and including all Previously Subscribed Material).

  • Licensee Technology means the Licensee Know-How and Licensee Patents.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Licensed Field of Use means all fields.

  • Product Technology means the Product Know-How and Product Patents.

  • Software Product means any COTS which you propose to provide pursuant to the contract.

  • Manufacturing Technology means any and all patents, patent applications, Know-How, and all intellectual property rights associated therewith, and including all tangible embodiments thereof, that are necessary or useful for the manufacture of adeno- associated viruses, adeno-associated virus vectors, research or commercial reagents related thereto, Licensed Products, or other products, including manufacturing processes, technical information relating to the methods of manufacture, protocols, standard operating procedures, batch records, assays, formulations, quality control data, specifications, scale up, any and all improvements, modifications, and changes thereto, and any and all activities associated with such manufacture. Any and all chemistry, manufacturing, and controls (CMC), drug master files (DMFs), or similar materials provided to regulatory authorities and the information contained therein are deemed Manufacturing Technology.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Licensed Fields of Use means the fields of use identified in Appendix B.

  • Licensed Field means all fields of use.

  • Licensed Marks means the Localized Game Marks and such other trademarks expressly authorized in writing by Shengqu to be used by the Licensees.

  • Licensed IP means the Licensed Patents and the Licensed Know-How.

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Field of Use means all fields of use.

  • Software Products and “Software” are interchangeable and mean software, computer source codes and other computer programs.

  • Developed Technology means any Technology including, without limitation, any enhancements, substitutions or improvements to the Core Technology that is (a) discovered, developed or otherwise acquired by DURA pursuant to the terms of the Development Agreement or (b) otherwise acquired by or on behalf of Xxxxxx Corp. II during the term of the Development Agreement.

  • Company Technology means all Technology used in or necessary for the conduct of the business of the Company or any of its Subsidiaries, or owned or held for use by the Company or any of its Subsidiaries.

  • Licensed Know-How means all Know-How that (a) is Controlled by Pfizer or any of its Affiliates as of the effective date of the Pfizer-MPP Agreement, (b) directly relates to the use of the Compound, Product or Licensed Product in the Field, and (c) is not in the public domain or otherwise generally known. For the avoidance of doubt, (i) Licensed Know-How shall not include any Know-How to the extent solely and directly related to any other Pfizer compound or to the extent related to the use of the Compound, Product or Licensed Product outside the Field and (ii) Licensed Know-How includes only that Know-How, designated by Pfizer in its sole discretion, necessary for the manufacture, registration and commercialization of the Compound and/or Licensed Product for use in the Field. For the avoidance of doubt, Licensed Know-How excludes any Know-How related to ritonavir that has been (either as of the Effective Date or at any time during the term of this Agreement) in-licensed by Pfizer from any Third Party.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).
