LIBOR Index Rate Loan definition

LIBOR Index Rate Loan when used in reference to any Loan or Borrowing, refers to whether such Loan, or the Loans comprising such Borrowing, bears interest at a rate determined by reference to the One Month LIBOR Index Rate.
LIBOR Index Rate Loan means Loans bearing interest based on the LIBOR Index Rate.
LIBOR Index Rate Loan means any Loan bearing interest based on the LIBOR Index Rate.

Examples of LIBOR Index Rate Loan in a sentence

  • If the requested Revolving Loan is to be a Base Rate Loan or a LIBOR Index Rate Loan, then, such Notice of Borrowing must be received by Administrative Agent at or before 11:00 a.m. on the Business Day on which Borrowers desire such Revolving Loan to be made.

  • Each Notice of Borrowing for a Revolving Loan shall specify (i) the amount of the Borrowing; (ii) the requested funding date (which must be a Business Day); (iii) whether the Borrowing is requested to be made as a Swing Line Loan, (iv) whether the Borrowing is requested to be made as a Base Rate Loan, LIBOR Index Rate Loan or Adjusted LIBOR Rate Loan; and (v) in the case of an Adjusted LIBOR Rate Loan, the duration of the applicable Interest Period.

  • Except as provided in Sections 2.03(c) and 2.04(c), each Borrowing of or conversion to Base Rate Loans or LIBOR Index Rate Loan shall be in a principal amount of $500,000 or a whole multiple of $100,000 in excess thereof.

  • Except as provided in the immediately preceding sentence, nothing in this Section 15.1(b) shall affect the obligation of any Lender other than an Affected Lender to make or maintain Loans as, or to convert Loans to, Adjusted LIBOR Rate Loans or LIBOR Index Rate Loan in accordance with the terms hereof.

  • The Borrower shall pay interest on (i) each Base Rate Loan at the Base Rate in effect from time to time; (ii) on each LIBOR Index Rate Loan at the LIBOR Index Rate in effect from time to time; and (iii) on each Adjusted LIBO Rate Loan at the Adjusted LIBO Rate for the applicable Interest Period in effect for such Loan, plus, in each case, the Applicable Margin in effect from time to time.


More Definitions of LIBOR Index Rate Loan

LIBOR Index Rate Loan means any Loan that accrues interest by reference to the LIBOR Index Rate in accordance with the terms of this Agreement. For the avoidance of doubt, a LIBOR Index Rate Loan is not a LIBOR Rate Loan.
LIBOR Index Rate Loan means any Advance that bears interest based on the Term Loan B LIBOR Index Rate.
LIBOR Index Rate Loan or “Base Rate Loan”). Borrowings also may be classified and referred to by Type (e.g. “EurodollarSOFR Borrowing”, “Index Rate Borrowing” or “Base Rate Borrowing”).
LIBOR Index Rate Loan means Loans bearing interest based on the LIBOR Index Rate. “LIBOR Loan” means a Loan bearing interest at a rate determined by reference to the Adjusted LIBOR Rate or LIBOR Index Rate (including a Base Rate Loan referencing the LIBOR Index Rate), as applicable. “Lien” means (a) any lien, mortgage, pledge, assignment, security interest, charge or encumbrance of any kind (including any agreement to give any of the foregoing, any conditional sale or other title retention agreement, and any lease or license in the nature thereof) and any option, trust or other preferential arrangement having the practical effect of any of the foregoing, and (b) in the case of Securities, any purchase option, call or similar right of a third party with respect to such Securities. “Loan” means any Revolving Loan, Swingline Loan or Term Loan, and the Base Rate Loans and Adjusted LIBOR Rate Loans comprising such Loans. “Margin Stock” means as defined in Regulation U of the Board of Governors of the Federal Reserve System as in effect from time to time. “Master Agreement” means as defined in the definition ofSwap Agreement”. “Material Acquisition” means a Permitted Acquisition for which the aggregate consideration (including, without limitation, equity consideration, earn out obligations, deferred compensation, non-competition arrangements and the amount of Indebtedness and other liabilities incurred or assumed by the Credit Parties and their Subsidiaries) paid by the Credit Parties and their Subsidiaries is greater than or equal to $25,000,000. “Material Adverse Effect” means any effect, event, condition, action, omission, change or state of facts that, individually or in the aggregate, has resulted in, or could reasonably be expected to result in, a material adverse effect with respect to (a) the business operations, properties, assets, or financial condition of the Borrower and its Subsidiaries taken as a whole; (b) the ability of the Credit Parties, taken as a whole, to fully and timely perform the Obligations; (c) the legality, validity, binding effect, or enforceability against a Credit Party of any Credit Document to which it is a party; (d) the value of the whole or any material part of the Collateral or the priority of Liens in the whole or any material part of the Collateral in favor of the Collateral Agent for the holders of the Obligations; or (e) the rights, remedies and benefits available to, or conferred upon, any Agent and any Lender or any holder of Obligations u...
