The City and LHL further agree to negotiate in good faith and to enter such other and further agreements as may be necessary to implement any aspect of design, engineering, construction or facility operation contemplated under this Agreement.
The City and LHL agree to cooperate in good faith with regard to each and every aspect required for the completion of all construction and operations contemplated by this Agreement.

If a material breach is not cured as set forth above, LHL may bring an action, in law or in equity, to enforce this Agreement or for damages, or both.
