LEVEL DETERMINATION CERTIFICATE means an Officers' Certificate of Company delivered on the Closing Date and thereafter in accordance with subsection 5.1(xi) setting forth in reasonable detail the Total Leverage Ratio which is applicable pursuant to the definition thereof as at the date on which such Officers' Certificate is delivered.

  • Allocation Certificate shall have the meaning set forth in Section 5.20.
