Lessee Affiliate definition

Lessee Affiliate means any Subsidiary or other Affiliate for the time being of Lessee.

• This Guaranty is a guaranty of payment and performance and not of collection and Guarantor waives any right to require that any action against Lessee or any Lessee Affiliate be taken or exhausted prior to action being taken against Guarantor.

• The excess consideration provisions of paragraph 12.6 of this Lease shall not apply to an assignment or sublease by Lessee to a Lessee Affiliate.

• Each Option granted to Lessee in this lease is personal to Lessee and may not be exercised or be assigned, voluntarily or involuntarily, by or to any person or entity other than Lessee, provided, however, the Option may be exercised by or assigned to any Lessee Affiliate as defined in paragraph 12 of this lease.

More Definitions of Lessee Affiliate

Lessee Affiliate means any corporation which directly or indirectly through one or more intermediaries controls, is controlled by, or is under common control with, Lessee.

Lessee Affiliate or "Affiliate of Lessee" means a corporation or other entity controlled by, controlling or under common control with Lessee. As used in this Lease, the terms "control", "controlled by" or "under common control with" shall mean ownership of (x) more than fifty percent (50%) of the outstanding voting stock of a corporation (or other majority equity and control interest if not a corporation), and (y) the possession of power to direct or cause the direction of the management and policy of such corporation or other entity, whether through the ownership of voting securities, by statute or according to the provisions of a contract. Lessee may sublet all or any portion of the Premises or assign this Lease to an Affiliate of Lessee without Lessor's consent or recapture rights, provided that Lessee shall continue to be liable under this Lease. Notwithstanding anything contained herein, Lessee shall have the right, without being required to obtain the consent of Lessor or being subject to Lessor's recapture rights hereunder, to permit portions of the Premises to be used under so called "desk sharing" arrangements by persons or entities which are an Affiliate of Lessee (any such person or entity, a "User"), and which User shall only use desk space in the Premises for the purposes permitted by this Lease, and subject to and in compliance with the following terms and conditions:

Lessee Affiliate provided that before such assignment shall be effective, (a) said assignee shall assume, in full, the obligations of Lessee under this Lease and (b) Lessor shall be given written notice of such assignment and assumption. Any such assignment shall not, in any way, affect or limit the liability of Lessee under the terms of this Lease even if after such assignment or subletting the terms of this Lease are materially changed or altered without the consent of Lessee, the consent of whom shall not be necessary.

Lessee Affiliate means and include a subsidiary which is wholly owned by the original Lessee.

Lessee Affiliate means any sole proprietorship, partnership, corporation, joint venture, or other business association in which Lessee is a beneficial owner or active participant.

Lessee Affiliate shall include any entity which acquires substantially all of the assets of Tenant, as a going concern, with respect to the business that is being conducted in the Premises; or any entity that acquires any stock, the beneficial ownership, or effective voting control of Tenant from the person(s) having effective voting control as of the date of Tenant's execution of this Lease.

Lessee Affiliate means any entity which controls, is controlled by, or is under common control with Lessee or to any entity resulting from the merger or consolidation of Lessee, or to any person or entity which acquires substantially all of the assets of Lessee, provided that such assignee assumes in full all of the obligations of Lessee under this Master Antenna Site Lease and the Site Schedules that may be assigned. Notwithstanding the above, Lessee shall be permitted to assign its rights under the Master Antenna Site Lease or any Site Schedules to SprintCom, upon written notice to Lessor.
