Section 14.1 Tenant will not assign or in any manner transfer this Lease or any interest therein, nor sublet the Leased Premises or any part of it, nor permit occupancy by anyone without the prior written consent of Landlord, which consent will not be unreasonably withheld.
Section 14.2 Notwithstanding Section 14.1, Tenant shall have the right, with ten (10) days’ prior notice to Landlord but without Landlord’s consent, to assign this Lease or sublet all or any portion of the Premises: (i) to a subsidiary or affiliate of Tenant; or (ii) to any person or entity which is acquiring all or substantially all of the ownership interest or assets of Tenant (each a “Permitted Transferee).
No assignment will release Tenant of any of its obligations under this Lease or be construed or taken as a waiver of any of Landlord’s rights hereunder.
Nothing in this Lease will be construed as consent on the part of Landlord so as to subject the Landlord’s estate in the Leased Premised to any lien or liability under the laws of the State of South Dakota.
The Permitted Transferee, shall, upon the assignment of the Lease, become liable for the payment of all Rent and the performance of all terms, covenants and conditions under the Lease.
