Lawful Performance. Vendor shall abide by all Federal, State and Local Laws, Ordinances, Regulations, and Statutes as may be related to the performance of duties under this agreement. In addition, all applicable permits and licenses required shall be obtained by the vendor, at vendor’s sole expense.
Lawful Performance. It is further agreed that no party to this Agreement will perform contrary to any state, federal, or county law, or any of the ordinances of the Town of Xxxxx, Colorado.

CONSULTANT, at its sole expense, shall obtain and maintain during the term of this Agreement, all appropriate permits, licenses, and certificates that may be required in connection with the performance of services under this Agreement.

Lawful Performance a. Xxxxxxxxx agrees to comply with all applicable federal, state, municipal and other local laws and regulations. No fines, charges, or assessments for overloaded vehicles or other violations of applicable laws and regulations will be passed to, or be paid by any agency of the Federal Government.
Lawful Performance. (a) Novasep has full power and authority to sell, assign, transfer, convey and deliver the Novasep-Owned Stock to the Purchaser and to otherwise perform its obligations under this Agreement and the Ancillary Documents to which it is a party. The execution, delivery and performance of this Agreement and the Ancillary Documents to be executed, delivered and performed by Novasep, TangenX and TangenX Holding pursuant to this Agreement and the Ancillary Documents, and the consummation of the transactions contemplated hereby and thereby, do not and will not: (i) violate any provision of any agreement entered into by Novasep with respect to the Novasep-Owned Stock or the organizational documents of TangenX or TangenX Holding; (ii) result in a violation or breach of any of the terms, conditions or provisions of, or give rise to any termination or cancellation, or acceleration of any obligation under, any note, bond, mortgage, indenture, license, franchise, Permit (including, but not limited to, any Permits, approvals or authorizations of any Governmental Body), lease or other Contract to which TangenX is a party or to which Novasep is a party with respect to the Novasep-Owned Stock, or by which they or any of their properties or assets may be bound; (iii) violate any Applicable Laws; or (iv) result in the creation of any Encumbrances upon any shares of Novasep-Owned Stock or any Encumbrance upon any of TangenX’s assets or properties.
Lawful Performance. The Purchaser has full power and authority to perform its obligations under this Agreement and the Ancillary Documents. The execution, delivery and performance of this Agreement and the Ancillary Documents to be executed, delivered and performed by the Purchaser pursuant to this Agreement and the Ancillary Documents, and the consummation of the transactions contemplated hereby and thereby, do not and will not: (i) violate any provision of any agreement entered into by the Purchaser; (ii) result in a violation or breach of any of the terms, conditions or provisions, or give rise to any termination or cancellation, or acceleration of any material obligation under, of any note, bond, mortgage, indenture, license, franchise, Permit (including, but not limited to, any Permits, approvals or authorizations of any Governmental Body), lease or other Contract to which the Purchaser is a party, or by which it or any of its properties or assets may be bound; or (iii) violate any Applicable Laws; in each case, which could materially and adversely affect the legality, validity or enforceability of this Agreement, any Ancillary Agreement or the consummation of the transactions contemplated hereby or thereby.
Lawful Performance. Each Party represents and warrants to the other Party that it: (A) is a property broker authorized by the FMCSA (or similar authority in the jurisdiction of performance); (B) will hold at all times the surety bond or trust fund required to perform its services; (C) will notify the other Party promptly in writing if its broker permit is suspended or revoked, or if its financial responsibility expires or is otherwise impaired; (D) will at all times operate in compliance with all applicable laws, regulations, and rules; and (E) has authorized the person signing this Agreement to do so with the intent to be bound.
