Landlord Party definition

Landlord Party or “Landlord Parties” shall mean Landlord, any affiliate of Landlord, Landlord’s managing agents for the Building, each mortgagee (if any), each ground lessor (if any), and each of their respective direct or indirect partners, officers, shareholders, directors, members, trustees, beneficiaries, servants, employees, principals, contractors, licensees, agents or representatives. For the purposes of this Lease, the term “Tenant Party” or “Tenant Parties” shall mean Tenant, any affiliate of Tenant, any permitted subtenant or any other permitted occupant of the Premises, and each of their respective direct or indirect partners, officers, shareholders, directors, members, trustees, beneficiaries, servants, employees, principals, contractors, licensees, agents, invitees or representatives.

Landlord Party means Landlord, any Equity Investor, and their respective officers, employees, agents, servants, or assignees.

Landlord Party means a Landlord Entity and any principal, partner, member, officer, stockholder, director, trustees, employee or agent of a Landlord Entity or of any partner or member of any Person constituting a Landlord Entity or any other direct or indirect holder of an ownership interest in Landlord, disclosed or undisclosed.

Examples of Landlord Party in a sentence

• Provided that Tenant complies with the requirements of this Section with respect to any third party claim, Tenant shall not be liable for the costs of any separate counsel employed by Landlord or any Landlord Party with respect thereto.

• Landlord, throughout the Term, shall keep and maintain, and make all needed repairs in and to, the Building and the Premises to the extent that the need for the same arises out of any negligence or willful misconduct of Landlord or any Landlord Party.

• Landlord shall have no liability to Tenant for (a) any damage or loss caused by other tenants or other persons in, upon or about the Real Property, or caused by operations in construction of any public or quasi-public work, or (b) except to the extent caused by the negligence or willful misconduct of Landlord or any Landlord Party, any other loss or damage to persons or property (including any property of Tenant or any Tenant Party).

• Landlord shall not in any way be liable or responsible to Tenant for any loss, damage or expense which Tenant may sustain or incur if (i) the supply of electric energy to the Premises is temporarily interrupted, or (ii) the quantity or character of electric service is changed or is no longer available or suitable for Tenant’s requirements, except to the extent resulting from the willful misconduct or negligence of Landlord or any Landlord Party.

• In case any such third party action or proceeding is brought against Landlord and/or any Landlord Party by reason of any such claim, Tenant, upon prompt written notice from Landlord or such Landlord Party, shall defend such action or proceeding by counsel reasonably satisfactory to Landlord and such Landlord Party.

Landlord Party means any of Landlord, any Landlord Entity, the Port Authority 34 and each of their respective direct and indirect commissioners, partners, officers, shareholders, directors, 35 members, trustees, beneficiaries, employees, principals, contractors, licensees, agents and representatives.
