Landlord Indemnitees definition

Landlord Indemnitees means Landlord and its members, officials, officers, employees and agents.

Landlord Indemnitees means, collectively, Landlord, each Lessor, each Mortgagee and their respective partners, members, managers, shareholders, officers, directors, employees, trustees and agents.

Landlord Indemnitees means and shall be limited to Santa Xxxxx Campus Property Owner I LLC, a Delaware limited liability company (or any entity that that succeeds to Santa Xxxxx Campus Property Owner I LLC’s interest as Landlord under the Lease) and shall not include any other person or entity; provided, however, that Landlord may include in any claim owed by Tenant to it any amount which Landlord shall pay or be obligated to indemnify any other person or entity, and (B) any indemnity obligation shall be limited to losses caused by, or arising as a result of any act or failure to act of, Tenant or Tenant’s employees, agents or contractors;

• Tenant agrees to indemnify, protect, defend and hold harmless each and all of the Landlord Indemnitees from and against any claim, suit or cause of action asserted or brought by Tenant’s insurers for, on behalf of, or in the name of Tenant, including, but not limited to, claims for contribution, indemnity or subrogation, brought in contravention of this paragraph.

• Tenant hereby agrees to defend (with counsel reasonably acceptable to Landlord), indemnify and hold harmless Landlord and the Landlord Indemnitees from and against any and all Claims arising from or related to any such breach of the foregoing certifications, representations, warranties and covenants.

• Tenant shall indemnify, save, defend (at Landlord's option and with counsel reasonably acceptable to Landlord) and hold the Landlord Indemnitees harmless from and against any Claims arising from any such liens, including any administrative, court or other legal proceedings related to such liens.

• In addition, no recourse shall be had for an obligation of Landlord hereunder, or for any claim based thereon or otherwise in respect thereof or the relationship between the parties, against any past, present, or future Landlord Indemnitee (other than Landlord), whether by virtue of any statute or rule of law, or by the enforcement of any assessment or penalty or otherwise, all such other liability being expressly waived and released by Tenant with respect to the Landlord Indemnitees (other than Landlord).

• Tenant waives and releases all rights and remedies against Landlord and the Landlord Indemnitees that are inconsistent with the foregoing.

Landlord Indemnitees means, collectively, Landlord, any Lessor, any Mortgagee, Landlord’s managing agent and their respective partners, members, managers, shareholders, officers, directors, employees and agents. In no event shall Tenant be responsible for consequential damages under the provisions of this Article 30.

Landlord Indemnitees has the meaning set forth in Section 15.1(a).

Landlord Indemnitees as used in the Lease, means, collectively, Landlord and its affiliates, employees, agents, contractors and Lenders. “Lender,” as used in the Lease, means any lender, mortgagee or beneficiary.

Landlord Indemnitees means Landlord, any successor or assign of Landlord's Estate (or any portion thereof or interest therein), and any and all Agents, political subdivisions, affiliates, partners or subsidiaries of Landlord or any successor or assign of Landlord's Estate (or any portion thereof or interest therein).

Landlord Indemnitees. (as defined in Section 9.1(B)) from and against any and all claims of whatever nature against Landlord and/or the Landlord Indemnitees arising from (1) any use by Tenant and its contractors, licensees, agents, servants, invitees or employees of the Fire Stairs, as aforesaid, and (2) any accident, injury or damage whatsoever caused to any person or to the property of any person and occurring during the Term of the Lease, in or about the Fire Stairs (unless resulting from an act, omission or negligence of Landlord, or its contractors, licensees, agents, servants or employees) except that Landlord shall remain liable and responsible for insuring general Building security below the lowest floor and above the highest floor of the Premises.

Landlord Indemnitees means the Landlord Indemnitees as defined in Paragraph 11(a).

Landlord Indemnitees means and include each and all of the following: (w) Landlord; (x) Wilcxx Xxxelopment Services, Inc. and its affiliates and related entities (collectively, "WILCXX"); (y) Landlord's successor owners during the Lease Term (collectively, "SUCCESSOR OWNERS"); and (z) the respective officers, directors, trustees, members, partners, shareholders, employees, agents, successors and assigns of Landlord, Wilcxx xxx the Successor Owners.
