Lab Access definition

Lab Access means access by SPONSOR’s employees, agents, representatives or consultants to the drug development facilities and equipment of the Company, together with ancillary services (such as waste disposal and utilities), during normal business hours or during such other times as the parties shall agree. All Lab Access payments shall be prorated (based on a 30-day month) to exclude those days during which the drug development facilities and equipment are not fully available to SPONSOR’s employees, agents, representatives or consultants due to such facilities or equipment not being in good working order or due to the temporary needs of the Company to have exclusive access to such facilities or equipment. All Lab Access payments shall be due [***] after SPONSOR’s receipt of invoice for such services by the Company.

Examples of Lab Access in a sentence

  • HDS may reschedule the Lab Access Period upon at least twenty four (24) hours notice to Lab User, provided that access to the Lab is provided to the Lab User within sixty (60) days after the initially scheduled Lab Access Period.

  • Thereafter, during the term of this Agreement, SPONSOR shall pay the Company a Lab Access fee of [***], for any or part of any day of Lab Access.

  • HDS hereby grants to Lab User a nontransferable, non-exclusive, and limited license to use the HDS Technology solely for the purpose described in the applicable Statement of Work, during the Lab Access Period at the Lab.

  • If no payment date is specified in the Statement of Work, payment in full shall be due forty-five (45) business days after the conclusion of the applicable Lab Access Period.

  • In consideration for the Company providing SPONSOR with Lab Access (as defined below), SPONSOR shall pay the Company [***] during the first six full calendar months after the date hereof (and prorated, based on a 30-day month, for the any part of the initial month).

  • Except as licensed in this Section 4, HDS retains all right, title and interest in and to the HDS Technology, including any derivative works of the HDS Technology made by Lab User during the Lab Access Period or otherwise.

  • By Physical Delivery, Lab Access, or otherwise as Licensor may designate for each item.

  • Access to all "access" delivery items referred to in this Exhibit shall be deemed complete when designated items are delivered to Licensee and/or placed in a lab or vault in LABORATORY WHERE PROJECT IS VAULTED with a Lab Access Letter put on file so that Licensee may fulfill its obligations under this agreement or any sublicensing agreement.

  • Open Access means the non-discriminatory provision for the use of transmission lines or distribution system or associated facilities with such lines or system by any licensee or consumer or a person engaged in generation in accordance with the regulations specified by the Appropriate Commission;

  • Keyboard access Can users access all functions and content, and complete all tasks, independently by using only the keyboard (<tab>, <enter>, <spacebar>, <esc>, and arrow keys)?   • Critical access hospital or “CAH” means a hospital licensed as a critical access hospital by the department of inspections and appeals pursuant to rule 481—51.52(135B).
