L/C Certificate definition

L/C Certificate means a certificate, substantially in the form of Exhibit B, to be delivered by the Borrower to the Administrative Agent and the applicable L/C Issuer in connection with the issuance of each Letter of Credit or the amendment of any outstanding Letter of Credit to increase the face amount thereof (as applicable).
L/C Certificate means a certificate of the Borrower delivered to the Administrative Agent in respect of a Letter of Credit Advance (A) to the effect that on the date of delivery (i) the representations and warranties contained in the Loan Documents are correct in all material respects on and as of such date, as though made on and as of such date (except to the extent such representations and warranties specifically relate to an earlier date, in which case such representations and warranties were true, correct and complete in all material respects on and as of such earlier date and (ii) no event has occurred and is continuing which constitutes a Default and (B) specifying the Type of Advance such Letter of Credit Advance shall be and, if such Letter of Credit Advance is to be a Eurodollar Rate Advance, the Interest Period for such Letter of Credit Advance.

Examples of L/C Certificate in a sentence

  • In the event of any conflict between the terms hereof and the terms of any L/C Certificate, the terms hereof shall control.

  • The payment by the Issuing Bank of a draft drawn under any Letter of Credit shall constitute for all purposes of this Agreement the making by the Issuing Bank of a Letter of Credit Advance, in the amount of such draft, which shall be a Base Rate Advance until the third Business Day after the date which the Borrower shall have delivered a L/C Certificate in respect of such Letter of Credit Advance which specified that such Advance shall be a Eurodollar Advance.

  • In the event that the Issuing Bank fails to deliver an Outstanding LC Certificate in accordance with Clause 19.3 or Clause 19.4 above, the Borrowers shall procure that the Custodian will perform the calculations set out in the relevant Collateral Compliance Certificate in accordance with the most recent Outstanding LC Certificate delivered by the Issuing Bank.

  • In the event of any conflict between the terms hereof and the terms of any L/C Certificate or any other document between any L/C Issuer and the Borrower, the terms hereof shall control.

  • In the case of a request for an amendment of any outstanding Letter of Credit, such L/C Certificate shall specify in form and detail reasonably satisfactory to the relevant L/C Issuer (1) the Letter of Credit to be amended; (2) the proposed date of amendment thereof (which shall be a Business Day); (3) the nature of the proposed amendment; and (4) such other matters consistent with the items set forth in clauses (A)-(G) in the preceding sentence as such L/C Issuer may reasonably require.

  • The LC Merger shall become effective upon filing the LC Certificate of Merger with the Secretary of State of the State of Delaware (the time the LC Merger becomes effective being the "Second Effective Time").

  • Such L/C Certificate must be received by such L/C Issuer, the Administrative Agent, and, if applicable, the Pre-Funded L/C Facility Agent not later than 3:00 p.m. (New York time) at least two Business Days (or such later date and time as the Pre-Funded L/C Facility Agent, in the case of any Pre-Funded Letter of Credit, or the Administrative Agent, in the case of Revolving Letters of Credit, and such L/C Issuer may agree in a particular instance in their sole discretion) prior to the proposed issuance date.

  • Subject to the provisions of this Agreement, as soon as practicable following the First Effective Time, LMC Capital shall cause to be filed a certificate of ownership and merger and such other appropriate documents and instruments (collectively, the "LC Certificate of Merger") executed in accordance with the relevant provisions of the DGCL and DLLCA (as defined below), as shall be necessary or desirable in order to effect the LC Merger (as defined below).
