Kureha Consent definition

Kureha Consent means a written consent from Kureha Chemical Industry Co., Ltd., in a form reasonably satisfactory to Purchaser, which permits (a) Purchaser and the Company to purchase Ipconazole from Crompton to make and sell the Vortex Formulation for corn, cotton and sorghum in the United States for at least five (5) years from the date of such consent, pursuant to and on the terms of a Supply Agreement for Ipconazole to be executed by Purchaser and Crompton at Closing and (b) Crompton to grant rights to cite any existing data required to support the registration of the Vortex Formulation for corn, cotton and sorghum in the United States to the extent such data is not owned by or in the possession of the Company.
